Developer's Option to Terminate. This Agreement may be terminated by the Developer, if the Developer (i) has not occupied the Project on or prior to May 1, 2021; (ii) is in compliance with all material terms of this Agreement and no Event of Default has occurred and the City fails to comply with any material term of this Agreement, after written notice by the Developer of such failure, and the City has failed to cure such noncompliance within thirty (30) days of receipt of such notice, provided that if such noncompliance cannot reasonably be cured by the City within thirty (30) days of receipt of such notice (it being understood that there will be no extension for the City’s failure to make a payment under the Note on any Note Payment Date), the City has not provided assurances, reasonably satisfactory to the Developer that such noncompliance will be cured as soon as reasonably possible; or (iii) Developer reasonably believes that it will be unable to continue the observe the Operating Covenants.
