Devotion to Duties. During the Term, Executive agrees that he will devote his full working time and best efforts to the business and affairs of the Company on a full-time basis and that he will exercise the highest degree of loyalty and reasonable standard of conduct in the performance of his duties. Executive agrees that he (a) will not engage, directly or indirectly, in any activity that is competitive with the Company’s business in any respect or make any preparations to engage in any competitive activities.
