DIRECTV Website and Magazine Advertising. DIRECTV shall include advertising relating to the TIVO Service and/or the TIVO Products (i) on the homepage or other webpage in close proximity to the homepage on DIRECTV's website at "xxx.xxxxxxx.xxx" or such other internet address that is used by DIRECTV as its primary website for promoting DIRECTV services to its existing DIRECTV Subscribers and prospective subscribers, and (ii) in DIRECTV's On and See magazines. The specific size, frequency and placement of such advertising shall be consistent with the terms set forth in Schedule 2.1.4. * Material has been omitted pursuant to a request for confidential treatment.   • Publication Advertisement Each Lender and each Credit Party hereby authorizes the Arranger to publish the name of such Lender and Credit Party, the existence of the financing arrangements referenced under this Agreement, the primary purpose and/or structure of those arrangements, the amount of credit extended under each facility, the title and role of each party to this Agreement, and the total amount of the financing evidenced hereby in any “tombstone”, comparable advertisement or press release which the Arranger elects to submit for publication. In addition, each Lender and each Credit Party agrees that the Arranger may provide lending industry trade organizations with information necessary and customary for inclusion in league table measurements after the Closing Date. With respect to any of the foregoing, the Arranger shall provide the Borrower with an opportunity to review and confer with the Arranger regarding the contents of any such tombstone, advertisement or information, as applicable, prior to its submission for publication and, following such review period, the Arranger may, from time to time, publish such information in any media form desired by the Arranger, until such time that the Borrower shall have requested the Arranger cease any such further publication.

  • Programming Seller shall not make any material changes in the broadcast hours or in the percentages of types of programming broadcast by the Station, or make any other material change in the Station's programming policies, except such changes as in the good faith judgment of the Seller are required by the public interest.

  • No General Solicitation or General Advertising Neither the Company nor any person acting on its behalf has engaged or will engage in any form of general solicitation or general advertising (within the meaning of Regulation D under the Securities Act) in connection with any offer or sale of the Purchased Securities.

  • Customary Advertising Material The Loan Parties consent to the publication by the Administrative Agent or any Lender of customary advertising material relating to the transactions contemplated hereby using the name, product photographs, logo or trademark of the Loan Parties.

  • Feedback Distributor shall provide Company with prompt written notification of any comments or complaints about the Products that are made by Customers, and of any problems with the Products or their use that Distributor becomes aware of. Such written notification shall be the property of Company, and shall be considered to be part of Company’s Confidential Information.

  • Advertising Xxxxxxxx Xxxxxxxx agrees to make available such sales and advertising materials relating to the Shares as Xxxxxxxx Xxxxxxxx in its discretion determines appropriate. PaineWebber agrees to submit all sales and advertising materials developed by it relating to the Shares to Xxxxxxxx Xxxxxxxx for approval. PaineWebber agrees not to publish or distribute such materials to the public without first receiving such approval in writing. Xxxxxxxx Xxxxxxxx shall assist PaineWebber in obtaining any regulatory approvals of such materials that may be required of or desired by PaineWebber.

  • No General Solicitation or Advertising Neither the Company, nor any of its Subsidiaries or Affiliates, nor any Person acting on its or their behalf, has engaged in any form of general solicitation or general advertising (within the meaning of Regulation D) in connection with the offer or sale of the Securities.

  • Publicity and Advertising Executive agrees that the Company may use his name, picture, or likeness for any advertising, publicity or other business purpose at any time, during the term of this Agreement and may continue to use materials generated during the term of this Agreement for a period of six (6) months thereafter. The use of Executive’s name, picture, or likeness shall not be deemed to result in any invasion of Executive’s privacy or in violation of any property right Executive may have; and Executive shall receive no additional consideration if his name, picture or likeness is so used. Executive further agrees that any negatives, prints or other material for printing or reproduction purposes prepared in connection with the use of his name, picture or likeness by the Company shall be and are the sole property of the Company.

  • Advertising Materials As an independent contractor, Representative has the full right to exercise his or her independent judgment in determining whether to advertise. Any advertising undertaken by Representative will be at his or her expense. However, to comply with applicable statutes, rules and regulations, Representative will submit to the Company for review all advertising or sales literature, as defined by the FINRA Rules, that Representative intends to use and obtain prior written approval of the proposed use of the literature by the Company.
