Common use of Disbandment Clause in Contracts

Disbandment. Upon Regulatory Approval of the last Licensed Product developed pursuant to the Development Plan and Budget, unless otherwise mutually agreed in writing, the JDC shall have no further responsibilities or authority under this Agreement and will be considered dissolved by the Parties. Additionally, in the event of a Change in Control of Galapagos, Xxxxxx shall have the right at any time and for any reason, effective upon written notice, to disband the JDC pursuant to Section 13.2.2.

Disbandment. Additionally, the JDC may be dissolved upon the mutual agreement of the Parties or in the event of a Change in Control an Industry Transaction of Galapagos, Xxxxxx where Gilead shall have the right at any time and for any reason, effective upon written notice, to disband the JDC pursuant to, but only to the extent provided in, Section 13.2.215.6(c).
