It is expressly understood that LIL is hereby retained by BMB to provide limited management services and personnel to BMB and LIL shall be no more than an independent contractor of BMB providing services to BMB for the fees and expense reimbursements provided for in this Agreement. Nothing herein shall be construed for any purpose to create the relationship of employer and employee, joint venturers or partners, between LIL and Management and Support Personnel on the one hand, and BMB on the other hand. This Agreement is for the exclusive benefit of the parties hereto. It is understood and agreed that nothing contained in this Agreement shall confer or be construed to confer any benefit on persons who are not parties to this Agreement.

It is expressly understood that LFT is hereby retained by LTI to provide limited management services and personnel to LTI and LFT shall be no more than an independent contractor of LTI providing services to LTI for the fees and expense reimbursements provided for in this Agreement. Nothing herein shall be construed for any purpose to create the relationship of employer and employee, joint venturers or partners, between LFT and Management and Support Personnel on the one hand, and LTI on the other hand. This Agreement is for the exclusive benefit of the parties hereto. It is understood and agreed that nothing contained in this Agreement shall confer or be construed to confer any benefit on persons who are not parties to this Agreement.
Disclaimer of Intent to Become Partners. Precis and BOK shall not by virtue of this Agreement be deemed partners or joint venturers. Neither party shall pay or withhold any federal or state income or payroll taxes with respect to compensation payable to the other under this Agreement. Neither Precis nor BOK shall incur any financial obligation on behalf of the other party without prior written approval of the other party.

Provider is an independent contractor and shall at no time have the power to bind User or to create any rights in favor of any person which User has not previously authorized in writing, and the relationship under the HR Agreement shall not create any form of legal association between Provider and User which would impose liability upon the other.
