Disclaimer of Intent to Become Partners. ARI and Manufacturer shall not by virtue of this Agreement be deemed partners or joint venturers. It is expressly understood that each of the Parties is acting as an independent contractor.

It is expressly understood that LIL is hereby retained by BMB to provide limited management services and personnel to BMB and LIL shall be no more than an independent contractor of BMB providing services to BMB for the fees and expense reimbursements provided for in this Agreement. Precis is retained by the White Sox to provide services under this Agreement as an independent contractor. Neither party shall pay or withhold any federal or state income or payroll taxes with respect to compensation payable to the other under this Agreement. None of the employees of one party shall be treated as employees of the other party with respect to any services provided by them under this Agreement. No workers' compensation insurance shall be obtained by the White Sox concerning any of the employees of Precis. Neither Precis nor the White Sox shall incur any financial obligation on behalf of the other party without prior written approval of the other party.
