Disclaimer of License. Disclosing Party reserves all rights, titles and interests in and to its Confidential Information. Confidential Information is provided to Receiving Party in bailment, solely for the Purpose, and nothing herein constitutes a sale of Confidential Information, a license or other transfer or conveyance of rights, titles or interests by a Disclosing Party in or to its Confidential Information or in any of its intellectual property rights therein, and no such conveyance or obligation to make sure conveyance will be implied.

Disclaimer of License. Employee hereby agrees and acknowledges that no license, either expressed or implied, is herein granted to Employee by Company to use any of the Confidential Information except as authorized hereunder. Employee warrants and represents that he/she shall not make any claim of any right of license or use other than as expressly permitted on a limited basis herein, any such right being expressly disclaimed by the Employee.
