If Supplier is compelled by law, governmental rule or regulation, or order of a court with competent jurisdiction to disclose Non-Public Information, the Supplier shall, unless expressly prohibited by law, promptly provide written notice to the University of any such requirement to allow the University, in its discretion, to either (i) reach an agreement as to the timing and content of such disclosure, or
