Disclosure/Undertaking. The Company undertakes to disclose the terms of this Agreement as well as comply with all of its reporting obligations pursuant to the Securities Exchange Act of 1934. The Company will disclose in a Form 8-K, 10-Q, or 10-K, the terms of this Agreement not later than August 1, 2016. Failure by the Company to publicly disclose the terms of this Agreement will be an Event of Default under the Notes and the Option Notes. After August 1, 2016, Purchasers may publicly disclose this Agreement and the terms hereof.
