DISPOSITION OF PROTECTED HEALTH INFORMATION UPON TERMINATION OR EXPIRATION. Upon termination or expiration of this BAA, Business Associate shall either return or destroy, in Covered Entity’s sole discretion and in accordance with any instructions by Covered Entity, all PHI in the possession or control of Business Associate and its agents and subcontractors. In such event, Business Associate shall retain no copies of such PHI. However, if the Business Associate determines that neither return nor destruction of PHI is feasible, Business Associate shall notify Covered Entity of the conditions that make return or destruction unfeasible, and may retain PHI, provided that Business Associate (1) continues to comply with the provisions of this BAA for as long as it retains PHI, and (2) further limits Uses and Disclosures of PHI to those purposes that make the return or destruction of PHI unfeasible.
