Disputes and Adverse Claims. In case of suit, adverse claim, dispute or question as to the ownership of the Property or of Advance Royalty or Production Royalty payable under the Agreement, Lessee may, at its sole discretion, deposit the payment (or the portion of the payment in dispute) into an interesting-bearing escrow account, which shall be paid as determined by a written order from a court or tribunal of competent jurisdiction over the parties and matter in dispute. Upon final disposition of such suit, cl im, dispute or question, the escrowed funds shall be released consistent with the decision of a court or tribunal of competent jurisdiction over the parties and matter in dispute. None of the Company, any General Partner, the Borrower, any Qualified Borrower or any Subsidiary of the Borrower is (A) in violation of any applicable Requirements of Law which violation will have or is reasonably likely to have a Material Adverse Effect, or (B) subject to or in default with respect to any final judgment, writ, injunction, restraining order or order of any nature, decree, rule or regulation of any court or Governmental Authority which will have or is reasonably likely to have a Material Adverse Effect.

Neither the Company nor any of its Subsidiaries is a party to or subject to the provisions of any judgment, order, writ, injunction, decree, award, stipulation or settlement of or with any Governmental Entity that would, individually or in the aggregate, reasonably be expected to have, a Company Material Adverse Effect (except to the extent expressly consented to by Parent pursuant to Section 5.06).
