Disqualification. In addition to the circumstances in which the office of Director becomes vacant by virtue of the Law, the office of Director shall be, ipso facto, vacated if the Director: (a) becomes of unsound mind or a person whose person or estate is liable to be dealt with in any way under the law relating to mental health; (b) is removed by a resolution pursuant to Article 84; (c) absents himself or herself from meetings of Directors for a continuous period of six (6) months without special leave of absence from the Directors and the Directors thereupon declare his or her seat to be vacant; (d) if he or she ceases to hold his or her qualification shares (if any be required by these Articles) or fails to pay any call due on any shares held by him or her for the space of one (1) month or such further time as the Directors shall allow after the time when the call shall have been made; (e) being the Managing Director ceases to hold that office; or
