Distribution of Shares and Cash. Abbott shall instruct the Agent to distribute, as soon as practicable following the Effective Time, to each Record Holder the following:

Valero shall instruct the Agent to distribute, as soon as practicable following the Distribution Date, to each Record Holder the following: (i) one share of Corner Store Common Stock for each nine shares of Valero Common Stock held by such Record Holder as of the Record Date and (ii) cash, if applicable, in lieu of fractional shares obtained in the manner provided in Section 3.2(d).

New Worthington shall instruct the Agent to distribute, as soon as practicable following the Effective Time, to each Record Holder the following: (i) [ ⚫ ] shares of Worthington Steel Stock for every [ ⚫ ] shares of New Worthington Stock held by such Record Holder as of the Record Date and (ii) cash, if applicable, in lieu of fractional shares obtained in the manner provided in Section 3.2(c). Subject to Section 3.3, each Record Holder shall be entitled to receive in the Distribution: (i) one share of Veoneer Common Stock for every one share of Autoliv Stock held by such Record Holder as of the Record Date and (ii) cash, if applicable, in lieu of fractional shares which cash shall be obtained and distributed in the manner provided in Section 3.2(d). All of the shares of Veoneer Common Stock distributed (including Veoneer Common Stock transferred to the Veoneer Custodian) will be validly issued, fully paid and non-assessable.
