Common use of D&O Policy Clause in Contracts

D&O Policy. The Company shall maintain, at all times, a directors and officers liability insurance policy (the “D&O Policy”) and the Employee shall be covered, in his capacity as an officer and director of the Company under the D&O Policy, for all acts undertaken by Employee in good faith hereunder, subject to the coverage limitations and other terms and conditions of the D&O Policy including but not limited to any applicable exclusions. The cost of such coverage will be borne by the Company.

The Company shall maintain, at all times, a directors and officers liability insurance policy (the “D&O Policy”) and the Employee Executive shall be covered, in his capacity as an officer and director of the Company and any of the Xxxxxxxx Companies, under the D&O Policy, for all acts undertaken by Employee Executive in good faith hereunder, subject to the coverage 2 Exhibit 10.1 limitations and other terms and conditions of the D&O Policy such policy including but not limited to any applicable exclusions. The cost of such coverage will shall be borne by the Company.
