Due Formation and Good Standing of Certain Other Persons. Each of the Subsidiaries has been duly formed or incorporated, as applicable and is validly existing as a corporation, limited liability company, limited partnership or other entity, as applicable, in good standing under the laws of the jurisdiction of its formation or incorporation, as applicable, and has full corporate, limited liability company, partnership or other power and authority, as applicable, to own, lease and operate its properties and to conduct its business as described in the Offering Memorandum and to enter into and perform its obligations under each of the Transaction Documents to which it is a party. Each Subsidiary is duly qualified as a foreign corporation, limited liability company, limited partnership or other entity, as applicable, to transaction business and is in good standing or equivalent status in each jurisdiction in which such qualification is required, whether by reason of the ownership or leasing of property or the conduct of business, except for such jurisdictions where the failure to so qualify or to be in good standing would not, individually or in the aggregate, result in a Material Adverse Change. All of the issued and outstanding capital stock or other ownership interest of each Subsidiary has been duly authorized and validly issued, is fully paid and nonassessable (except as such nonassessability may be limited by applicable law) and is owned by the Issuer, directly or indirectly through subsidiaries, free and clear of any security interest, mortgage, pledge, lien, encumbrance or claim, except as disclosed in the Offering Memorandum. Other than as described in the Offering Memorandum, the Issuer does not, and, after giving effect to the Spin Transactions, will not, own, directly or indirectly, any equity or long-term debt securities of any corporation, partnership, limited liability company, joint venture, association or other entity other than the subsidiaries listed in Schedule B hereto.
