Due Incorporation, Existence and Corporate. Power of the Corporation The Corporation is a corporation duly incorporated on May 15, 2006, validly existing and in good standing in its jurisdiction of incorporation. The Corporation has all necessary corporate power and authority to own or lease its properties, to carry on its business as now being conducted by it, to enter into this Agreement and the other agreements to which it is or is to become a party pursuant to the terms hereof and to perform its obligations hereunder and thereunder. The Corporation is not a reporting issuer under applicable securities legislation, there is not a published market for any securities of the Corporation and the number of holders of securities of the Corporation is one (1).
