Due Organization and Good Standing of Seller. (a) Echelon is a corporation duly organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has all requisite corporate power and authority to own, lease and operate its properties, including the Assets, and to carry on its business as now being conducted. True and complete copies of Echelon's Amended and Restated Articles of Incorporation and By-laws, each as in effect on the Agreement Date, have been previously made available for review to Buyer. Except as set forth on Schedule XVIII annexed hereto and made a part hereof, Echelon is duly qualified or licensed to do business and is in good standing in each jurisdiction in which the property owned, leased or operated by it or the nature of the business conducted by it makes such qualification necessary.

Due Organization and Good Standing of Seller. Seller (a) is duly organized, validly existing and in good standing under the Laws of the State of Delaware, (b) is qualified or otherwise authorized to act as a foreign corporation and is in good standing under the Laws of every other jurisdiction in which such qualification or authorization is necessary under applicable Law and (c) has the requisite power and authority, and all necessary material governmental approvals, to own, lease and operate its Assets and to conduct the Business as it is now being conducted, except in the case of clause (b) where the failure to be so qualified or authorized or to have such power and authority has not had and would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect. Section 3.1 of the Seller Disclosure Letter sets forth a list of each jurisdiction in which Seller is qualified to do business. True, correct and complete copies of each of Seller’s Organizational Documents in effect as of the date hereof have been previously provided to Buyer in Seller’s electronic data room (the “Seller Data Room”).
