Duration of Registration. With respect to each Registration of Registrable Securities, the Company shall prepare and file a registration statement with the SEC with respect to the Shares and use diligent reasonable efforts to cause the Registration to become and remain effective for at least 120 days or until the Shares covered by the Registration have been sold; provided, however, that (i) the 120-day period shall be extended for a period of time equal to the period the Holder refrains from selling any securities included in such registration at the request of an underwriter of Common Stock (or other securities) of the Company; and (ii) in the case of any registration of Registrable Securities on Form S-3 which is intended to be offered on a continuous or delayed basis, the 120-day period shall be extended, if necessary, to keep the registration statement effective until all such Registrable Securities are sold, provided that Rule 415, or any successor rule under the Securities Act, permits an offering on a continuous or delayed basis, and provided further that applicable rules under the Securities Act governing the obligation to file a post-effective amendment permit, in lieu of filing a post-effective amendment which (I) includes any prospectus required by Section 10(a)(3) of the Securities Act or (II) reflects facts or events representing a material or fundamental change in the information set forth in the registration statement, the incorporation by reference of information required to be included in (I) and (II) above to be contained in periodic reports filed pursuant to Section 13 or 15(d) of the Exchange Act in the registration statement.
Duration of Registration. Syntax-Brillian shall prepare and file with the SEC the Registration Statement in accordance with this Section with respect to the shares of Syntax-Brillian Common Stock and shall use it will use its best efforts to keep the Registration Statement continuously effective under the Securities Act until the earlier of (i) the second anniversary of the Filing Effective Date, (ii) such date as all unsold securities held by Great Step and registered on such registration statement may be sold in a single three-month period in accordance with Rule 144 under the Securities Act, or (iii) such date as all shares of Syntax-Brillian Common Stock registered on such Registration Statement have been resold. On the Filing Effective Date, Great Step shall be named as a selling security holder in the Registration Statement and the related prospectus in such a manner as to permit Great Step to deliver such prospectus to purchasers of registered securities in accordance with applicable law.

The 120-day period shall be extended by the number of days the Holder refrains from selling any securities included in the Registration at the request of the Company or the underwriter(s) managing the offering. The period for any continuous or delayed Registration on Form S-3 shall continue beyond 120 days until all Registrable Securities included in the Registration are sold. The Company shall not be required to keep the Registration effective for more than 120 days unless applicable rules under the Securities Act permit the Company to incorporate by reference from periodic reports filed pursuant to Section 13 or 15(d) of the Exchange Act information required to be included in any prospectus required by Section 10(a)(3) of the Securities Act or which reflects facts or events representing a material or fundamental change in the information set forth in the registration statement.
Duration of Registration. The Company shall use reasonable efforts (subject to any Permitted Interruption) to cause the Registration to become effective as soon as practicable after the date of this Agreement and to remain in effect for one (1) year from the later of (i) the effective date of the Registration Statement, or (ii) the last date on or prior to the first anniversary of such effective date that Registrable Securities are purchased, contributed or otherwise acquired by the Trust from the Company (the "Registration Period").
