Duration of the Block Vote Procedure. The block vote of CPPIB and Rique as provided in Section 4.4(a) above shall continue to be required until the occurrence of the first of the following events, as applicable (I) death or permanent disability of Xxxxxx, unless there is a Rique Permitted Representative (as defined below) previously indicated by Xxxxxx; (II) with respect to the matters listed in items (i) and (iii) of Section 4.4(a) above, the date of the fifteenth (15th) anniversary of execution of this Agreement; (III) with respect to the matters listed in items (ii) and (iv) of Section 4.4(a) above, the date of the fifth (5th) anniversary of execution of this Agreement; or (IV) the occurrence of three (3) consecutive deadlocks between CPPIB and Rique (or a Rique Permitted Representative, if applicable), provided that such deadlocks do not refer to the same proposed resolution.
