Duties and Obligations of General Partner. 6.4.1 The General Partner shall take any and all actions which may be necessary, appropriate or advisable for the continuation of the Partnership’s existence as a limited partnership under the laws of the State of Delaware (and under the laws of each other jurisdiction in which such existence is necessary to protect the limited liability of the Limited Partners or to enable the Partnership to conduct the business in which it is engaged) and activities related thereto.

Duties and Obligations of General Partner. 6.4.1 (a) The General Partner shall take any and all actions which may be necessary, appropriate necessary or advisable appropriate: (i) for the continuation of the Partnership’s valid existence as a limited partnership under the laws Law of the State of Delaware (and under the laws of each other jurisdiction in which such existence is necessary to protect the limited liability of the Limited Partners or to enable the Partnership to conduct the business in which it the Partnership is engaged); and (ii) for the accomplishment of the Partnership’s purposes, including the acquisition, development, maintenance, preservation, and activities related theretooperation of the Partnership Property in accordance with the provisions of this Agreement and Law.
