Duties and Status. (a) Throughout the Employment Period, the Employee shall exercise such authority and perform such duties as are assigned to her by the Company's Board of Directors, which shall include but not be limited to the following: (i) serve as spokesperson for the Company which shall include, but not be limited to, appearing in infomercials, commercials, print advertisements and any other form of advertisement or public relations as the Company shall determine; (ii) work on product development for the Company which shall include developing new products, improving existing products and expanding the existing line of products; (iii) conduct lectures and seminars on such topics and at such times and locations as may be determined by the Company; and (iv) perform all other duties and responsibilities for the Company, provided that such duties and responsibilities are reasonable and commensurate with the Employee's status as a principal employee of the Company. (b) Throughout the Employment Period, the Employee shall (i) devote her full time and efforts to the business of the Company and will not engage in consulting work or any trade or business for her own account or for or on behalf of any other person, firm or corporation which competes, conflicts or interferes with the performance of her duties hereunder in any way and (ii) accept such additional or different duties and responsibilities as are assigned to her by the Company, provided that such duties and responsibilities are reasonable and commensurate with the Employee's status as a principal employee of the Company. (c) The Employee shall be required to perform the services and duties referred to in this Section 2 at the offices of the Company in Baltimore, Maryland or at such other locations; provided that the Employee shall be required to travel, at the Company's expense, to such regional offices as shall be established from time to time as well as to seminar, client, job, filming or any other locations as may be reasonably necessary in the performance of her duties hereunder.

Duties and Status. (a) Throughout The Corporation shall continue to engage the Executive as a full-time executive employee for the period specified in Section 5 hereof (the "Employment Period"), and the Executive accepts such employment, on the terms and conditions set forth in this Agreement. At all times during the Employment Period, the Employee Executive shall hold the office of Vice President and Chief Operating Officer and shall report to the President of the Corporation. (b) Throughout During the Employment Period, the Employee Executive shall (i) devote her full substantially all of his time and efforts to the business of the Company Corporation and will its subsidiaries; (ii) not engage in consulting work or any trade or business for her his own account or for or on behalf of any other person, firm or corporation which competes, competes or conflicts or interferes with the performance of her his duties hereunder in any way way; and (iiiii) accept such additional office or different duties and responsibilities as are assigned offices with the Corporation or its subsidiaries to her which he may be elected by the CompanyBoard, provided that the performance of the duties of such duties and responsibilities are reasonable and commensurate office or offices shall be consistent with the Employee's status as a principal employee scope and nature of the Companyduties provided for in paragraph (a) of this Section 2.1. The foregoing shall not preclude the Executive from devoting a reasonable amount of his time to (i) management and supervision of his personal business investments, (ii) civic and charitable affairs and (iii) serving on boards of directors of other corporations, provided, in each case, that such activities do not interfere with the performance of the Executive's duties under this Agreement. (c) The Employee Executive shall be required to perform the services and duties referred to provided for in paragraph (a) of this Section 2 2.1 only at the location of the executive offices of the Corporation in the Baltimore metropolitan area, provided, however, the Executive acknowledges that he will be required to travel periodically in furtherance of the Corporation's business, such as travel to attend meetings at Parent's offices in Canada and at the offices of the Company in Baltimore, Maryland or at such other locations; provided that the Employee Corporation's customers and suppliers. (d) The Executive shall be required entitled to travelvacations, at leaves of absence and leaves for illness or temporary disability in accordance with the Company's expense, to such regional offices policies of the Corporation as shall be established in effect from time to time time, which policies shall not be less favorable than those in effect at the date of this Agreement. Any leave on account of illness or temporary disability which is less than total disability as well as to seminar, client, job, filming or any other locations as may be reasonably necessary defined in the performance Corporation's long-term disability insurance plan ("Total Disability") and which continues for a continuous period of her duties less than 180 consecutive days shall not constitute a breach by the Executive of his obligations hereunder.

(c) The Employee shall be required to perform Board or otherwise as the services and duties referred to in this Section 2 at the offices of the Company in Baltimore, Maryland or at such other locations; provided that the Employee shall be required to travel, at the Company's expense, to such regional offices as shall be established Board may from time to time as well as prescribe. The Employee agrees to seminardevote all of his time, client, job, filming or any other locations as may be reasonably necessary in efforts and skills exclusively to the performance of her his duties hereunderand responsibilities under this Employment Agreement and will not provide his services to any other person or entity without the prior consent of the Board; provided, however, that nothing in this Employment Agreement shall preclude the Employee from devoting reasonable periods required for participating in professional and appropriate industry associations, educational, philanthropic, public interest, charitable, social or community activities so long as such activities do not interfere in any material respect with the Employee’s duties hereunder or involve any manner of activity that is competitive with or adverse to the best interests of the Company; provided, further, that if during any regular business day these activities require the Employee to be off-premises more than four hours during normal business hours, that day shall be allocated to vacation time.
