Responsibilities and Duties. (a) As Cleveland City President, the Executive shall report to the Chief Executive Officer and will perform all duties and will have all powers associated with these positions, as set forth in any job description provided to the Executive by the Bank or as may be set forth in the bylaws of the Bank.
(b) During the period of his employment hereunder, except for reasonable periods of absence occasioned by illness, reasonable vacation periods, and other reasonable leaves of absence approved by the board of directors of the Bank, the Executive will devote all of his business time, attention, skill and efforts to the faithful performance of his duties under this Agreement, including activities and duties directed by the Chief Executive Officer and the board of directors of the Bank. Notwithstanding the preceding sentence, subject to the approval of the board of directors of the Bank, the Executive may serve as a member of the board of directors of business, community and charitable organizations, provided that in each case the service shall not materially interfere with the performance of his duties under this Agreement, adversely affect the reputation of the Bank or any other affiliates of the Bank, or present any conflict of interest. Nothing in this Section 1.2 shall prevent the Executive from managing personal investments and affairs, provided that doing so also does not interfere with the proper performance of the Executive’s duties and responsibilities under this Agreement.
Responsibilities and Duties. (a) As President and Chief Executive Officer, the Executive shall serve under the board of directors of the Corporation and will perform all duties and will have all powers associated with these positions, as set forth in any job description provided to the Executive by the Corporation or as may be set forth in the bylaws of the Corporation. In addition, the Executive shall be responsible for establishing the business objectives, policies and strategic plans of the Corporation. The Executive shall report directly to the board of directors of the Corporation.
(b) During the period of his employment hereunder, except for reasonable periods of absence occasioned by illness, reasonable vacation periods, and other reasonable leaves of absence approved by the board of directors of the Corporation, the Executive will devote all of his business time, attention, skill and efforts to the faithful performance of his duties under this Agreement, including activities and duties directed by the board of directors. Notwithstanding the preceding sentence, subject to the approval of the board of directors, the Executive may serve as a member of the board of directors of business, community and charitable organizations, provided that in each case the service shall not materially interfere with the performance of his duties under this Agreement, adversely affect the reputation of the Corporation or any other affiliates of the Corporation, or present any conflict of interest. Nothing in this Section 1.2 shall prevent the Executive from managing personal investments and affairs, provided that doing so also does not interfere with the proper performance of the Executive’s duties and responsibilities under this Agreement.
Responsibilities and Duties. The Executive’s duties shall consist of such duties and responsibilities as are consistent with the position of a Chief Revenue Officer and Head of Global Strategic Partnerships, including duties and responsibilities as are mutually determined from time to time by the Chief Executive Officer of the Company (the “CEO”) and the Executive.

The Assistant Principal shall supervise the operation of attendance centers as the Board shall determine necessary and shall have as her primary responsibility the improvement of instruction. The Assistant Principal shall also assume any additional administrative responsibilities and instructional leadership duties that may be assigned, under the supervision and direction of the Superintendent or designee and in accordance with the laws of the State of Illinois and the policies, rules, and regulations of the Board, for the planning, operation and evaluation of the educational program of her assigned attendance area. The Assistant Principal shall submit recommendations, as requested, to the Superintendent concerning the appointment, retention, promotion, and assignment of all personnel assigned to her attendance centers and shall keep such other registers, records and reports as may be directed by the Superintendent and the Board or required by law. The Assistant Principal shall be responsible for all obligations contained in the official job description for District assistant principals, including the discipline of students in accordance with the requirements of the School Code and Board policy. The shall be responsible for and deemed to have knowledge of, all of the policies and rules and regulations established by the Board and shall comply with their requirements.
Responsibilities and Duties. 4.1 The Employee will be employed as Senior Vice President and Chief Financial Officer for HLSS and shall report to the President and Chief Executive Officer.
4.2 The general responsibilities and duties of the Employee will be as follows:
(a) Ensuring that the financial statements of HLSS are prepared in accordance with Generally Accepted Accounting Principles;
(b) Establishing and maintaining an effective system of internal accounting controls;
(c) Ensuring that HLSS maintains access to the debt and equity capital markets to provide sufficient funding for its operations and growth at the lowest possible cost;
(d) Developing appropriate tax strategies and monitoring compliance with all applicable laws and regulations; and
(e) Attracting, developing and retaining HLSS employees who are critical to manage and grow the business.
4.3 In addition to the specific duties set out above, the Employee shall at all times use his best endeavours to promote the interests of HLSS and shall be expected to do all such work as would customarily Xxxxx Xxxxxx be associated with the position of Senior Vice President and Chief Financial Officer, including all such work as may be reasonably allocated or assigned to him by HLSS.
4.4 The Employee's duties, responsibilities and job title may be changed at any time at the Company's absolute and sole discretion by notice given in writing, subject to immigration approval.
4.5 The Employee shall devote substantially the whole of his time, attention and abilities during his hours of work and at such other times as may be necessary to the proper performance of his duties under this Agreement. During the term of this Agreement, the Employee agrees that he (i) will not perform any activities or services, or accept such other employment which would be inconsistent with this Agreement, the employment relationship between the Parties, or would in any way interfere with, or present a conflict of interest concerning, the Employee’s employment with HLSS without HLSS's written consent and (ii) shall not have any direct or indirect interest in any other business or organisation if that business or organisation competes or might reasonable be considered by HLSS to compete with HLSS or if this impairs or might reasonably be considered to impair the Employee’s ability to act in the best interest of HLSS.

The Executive shall be employed as the Company's Chairman or in such other position(s) and with such responsibilities and duties as the Board of Directors of the Company may from time to time determine. The Executive shall devote the time required of him by the Board of Directors to perform his duties and responsibilities hereunder.
Responsibilities and Duties. The Athletic Director shall be responsible for all obligations contained in the official job description for District athletic directors and shall assist the Superintendent or designee in the administrative operation and management of the School District with respect to the athletic department. The Athletic Director shall also assume any additional administrative responsibilities and duties that may be assigned, under the supervision and direction of the Superintendent or designee and in accordance with the laws of the State of Illinois and the policies, rules and regulations of the Board, for the planning, operation and evaluation of the educational program of the District. The Athletic Director shall be responsible for, and deemed to have knowledge of, all of the policies, rules and regulations established by the Board and shall comply with their requirements.

(b) The Executive shall at all times conduct himself in accordance with all laws that apply to his employment and to the affairs of the Company.
(c) The Executive shall comply with all written policies that apply to the Company’s senior staff that may be issued by the Company from time to time. It is agreed that the introduction and administration of such policies are within the sole discretion of the Company. If the Company introduces, amends or deletes such policies, such introduction, deletion or amendment shall not constitute a breach of this Agreement. If there is a direct conflict between this Agreement and any such policy, this Agreement shall prevail to the extent of the inconsistency.
