Duties as Executive of the Company. Executive shall, subject to the supervision of the Board of Directors of the Company (the “Board”), have general executive management and control of the Company in the ordinary course of its business with all such powers with respect to such management and control as may be reasonably incident to such responsibilities. Executive shall devote his full time and attention to diligently attending to the business of the Company during the Employment Period. During the Employment Period, Executive shall not directly or indirectly render any services of a business, commercial, or professional nature to any other person, firm, corporation, or organization, whether for compensation or otherwise, without the prior written consent of the Board. However, Executive shall have the right to (i) serve on corporate, civic or charitable boards or committees, provided that the Board must approve in advance Executive’s service on any outside corporate board, (ii) deliver lectures or fulfill speaking engagements at educational institutions, and (iii) engage in such activities as may be reasonably appropriate in order to manage his personal investments, so long as all activities set forth in the preceding clauses (i), (ii) and (iii), in the aggregate, do not materially interfere or conflict with the performance of his duties to the Company hereunder.
