Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's Executive Vice President, Chief Financial Officer, and Treasurer with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.
Duties and Restrictions. (a) Duties as Employee of Heartland. Executive shall serve as Heartland's Senior Vice President, Chief Financial Officer and Assistant Secretary, with all such powers and duties as may be set forth in Heartland's Bylaws with respect to, and/or are reasonably incident to, such office. Executive shall report to Heartland's Chief Executive Officer. Executive hereby agrees faithfully and conscientiously to serve Heartland, to devote her full professional time, skill, attention and energy to the Business and ancillary affairs of Heartland and to perform her duties hereunder competently, diligently, and to the best of her abilities. During the Term, Executive shall render her professional services exclusively to Heartland or its Subsidiaries during normal business hours to the services required of her hereunder. The foregoing limitation shall not be construed as prohibiting Executive from making personal investments in such form or manner as shall not require her services in the operation or affairs of the companies or enterprises in which such investments are made.
Duties and Restrictions. (a) During the term of this Agreement, Employee shall perform all duties and services incident to his position as President and Chief Executive Officer of the Company, and such other reasonable duties and services as may from time to time be assigned to him by the Board of Directors of Front Royal, Inc. All of the duties and services to be performed by Employee are at all times to be subject to the authority of the Board of Directors. Employee shall devote his full and exclusive time, attention and best efforts to the business of the Company and its Affiliates. Employee hereby accepts such employment and agrees he shall devote his full skill, abilities and productive time to the performance of his duties under this Agreement, and he shall not, without the prior consent of the Board of Directors, render to any third party any services for compensation or which would interfere with the performance of his duties hereunder.
(b) Employee will not at any time during the term of this Agreement or thereafter:
(i) reveal, divulge or make known to any person, firm or corporation or use for his personal benefit, directly or indirectly, any confidential or proprietary information received by him during the course of his employment or prior to the commencement thereof. For purposes of this paragraph 3(b)(i) confidential and proprietary information shall be defined to mean (i) all historical and pro forma projections of loss ratios incurred by the Company and any of the Affiliates, (ii) all historical and pro forma actuarial data relating to the Company and any of the Affiliates, (iii) historical and pro forma financial results and projections for the Company and its Affiliates, (iv) all information relating to the Company's or the Affiliates' systems and software (other than the portion thereof provided by the vendor to all purchasers of such systems and software) and (v) all other information relating to the financial, business or other affairs of the Company and its Affiliates, including their customers, that is not available to the general public or generally known or available within the industry; or
(ii) reveal, divulge or make known to any person, firm or corporation, or use for his personal benefit, directly or indirectly, the name or names of any of the customers of the Company or of any of its Affiliates, nor will he reveal, divulge or make known, to any person, firm or corporation, or use for his personal benefit, directly or indirectly, any trade secrets or ...

Duties and Restrictions. Employee agrees to devote Employee's best efforts, attention, and skills to performance of the duties of the position of City Attorney. Employee may not engage, without the express prior written consent of the City Council, in any other business duties or pursuits whatsoever or, directly or indirectly, render any services of a business, commercial or professional nature to any other person or organization, whether for compensation or otherwise, that might cause a conflict of interest with the Employer or that might otherwise interfere with the business or operations of the City or the satisfactory performance of Employee's duties.
Duties and Restrictions. Employee must devote his best efforts, attention, and skills to performance of the city manager’s duties. Employee must remain in the exclusive employ of the City throughout the term of this Agreement and may not accept other employment or become employed by any other employer. Employee must not engage in any activity, consulting service, or enterprise, for compensation or otherwise which is actually or potentially in conflict with or which materially interferes with his duties and responsibilities to City.

How will the household chores be divided? Will food be shared, or will each person be responsible for their own? Are pets allowed on the premises by the landlord? If so, how many? Will roommates have to obtain consent from the other roommates to have a pet? Who will be responsible for any damages caused by a pet? How many parking spaces are available? How will these spaces be allocated? If there are any damages to the rental property, how will they be paid for? Will smoking be allowed? If so, will there be a restricted area? Will Alcohol be allowed? If so, will there be any restrictions? Will parties be allowed? If so, will consent be needed by the other roommates first? Will overnight guests be allowed?
Duties and Restrictions. Employee shall perform, on behalf of the Company, all duties and services as directed by the Board of Directors and/or its Executive Committee. Employee shall devote his full time, effort, and attention during regular business hours to the business and affairs of the Company and shall perform his duties and services hereunder to the best of his ability. Employee may serve as a director, as a trustee or in a similar position with the Company or one or more other additional entities, provided that such service is consented to in advance by the Board. Any fees or other compensation received by Employee for service as a director, as a trustee or in a similar position with another entity shall be retained by Employee.
