Duties of Employment. Faculty Member agrees to perform the teaching, service, and research duties and responsibilities set forth in the written statement attached to this Agreement as Appendix “A” and incorporated herein by reference. Faculty Member and UNMC agree that Appendix A shall be periodically reviewed and revised as appropriate in accordance with Sections 3.4.4, 4.1, 4.2, and 4.3 of the Bylaws.

Duties of Employment. (a) During the Term, Employee’s position (including status, offices, titles and reporting requirements), authority, duties and responsibilities shall be at least commensurate in all material respects with the most significant of those held, exercised and assigned at any time during the ninety (90)-day period immediately preceding the Effective Date and Employee’s services shall be performed at such location as Employee shall determine. (b) During the Term, Employee will serve Company faithfully, diligently and competently and will devote full-time to Employee’s employment and will hold, in addition to the offices held on the Effective Date, such other Employee offices of Company or Parent, or their respective subsidiaries and affiliates, to which Employee may be elected, appointed or assigned by the Boards of Directors of Company or Parent from time to time and will discharge such Employee duties in connection therewith. Nothing in this Agreement shall preclude Employee, with the prior approval of the Board of Directors of Company, from devoting reasonable periods of time required for (i) serving as a director or member of a committee of any organization involving no conflict of interest with Company or Parent, or (ii) engaging in charitable, religious and community activities, provided, that such directorships, memberships or activities do not materially interfere with the performance of Employee’s duties hereunder.
Duties of Employment. Research Associate agrees to perform the duties and responsibilities set forth in the written statement attached to this Agreement as Appendix “A” and incorporated herein by reference. Research Associate and UNMC agree that Appendix A shall be periodically reviewed and revised as appropriate in accordance with Sections 4.1 and 4.2 of the Bylaws.
Duties of Employment. The Executive shall report to and be subject to the general direction of the President and Chief Executive Officer and shall have such duties and responsibilities as are customary for such position and as are delegated to him by the President and Chief Executive Officer from time to time.
Duties of Employment. The Executive will work closely with the Senior Management Team in executing overall Employer strategy as well as providing leadership to his portfolio. The Executive shall be responsible for providing the assigned duties as set forth in the attached job description, and to undertake such other duties as may, from time to time, be assigned to or vested in the Executive by the Employer. Should the Executive wish to undertake other employment or receive remuneration from any other source, the Executive shall seek the prior approval of the Employer and such approval shall be at the sole discretion of the Employer, but it shall not be unreasonably withheld.
Duties of Employment in any case in which the necessity for leave is foreseeable based on planned medical treatment, the employee: a. shall make a reasonable effort to schedule the treatment so as not to disrupt unduly the operations of the employer, subject to the approval of the health care provider of the employee or the health care provider of the son, daughter, spouse, or parent of the employee, as appropriate; and b. shall provide the employer with not less than 30 days’ notice, before the date the leave is to begin, of the employee’s intention to take leave under such subparagraph, except that if the date of the treatment requires leave to begin in less than thirty (30) days, the employee shall provide such notice as is practicable.
Duties of Employment. You agree to perform the duties assigned to you by the Company as more specifically stated in an attachment to this letter. The attachment may be modified in the future if you and the Company agree in writing. You understand and agree that during your employment relationship with the Company, you are not allowed, without proper prior approval, to perform any business activities for any person or entity other than the Company or another company that is part of the AMVESCAP Group. Of course, if you obtain the Company's prior written approval, you may perform other business activities. It is your obligation to comply with all Company policies and procedures, including those set forth in any Code of Ethics and other materials distributed by the Company to its employees. Further, you agree to comply with all applicable rules and regulations that pertain to the Company's business. As a Global Partner you have important duties to the Company: the duty to refrain from dealing in your self interest above that of the Company's, the duty to disclose any information that indicates that you may be exposed to a conflict of interests, the duty of loyalty, and the duty to refrain from using the Company's business opportunities for your own benefit. These fiduciary obligations and others arise because of the unique trust and confidence the Company places in you as a Global Partner.

Duties of Employment. The Executive agrees to render his services to the Company through the earlier of December 31, 2010 or the end of the Term as its Chairman of the Board, President and Chief Executive Officer, to render his services to the Company’s subsidiary Trustmark National Bank (the "Bank") as its Chairman of the Board and Chief Executive Officer and to hold such other office or position with the Company and/or the Bank as may be reasonably requested by the Board of Directors of the Company (the "Board"), and in connection therewith, to perform such duties commensurate with his office or position as he shall reasonably be directed by the Board to perform. For any portion of the Term occurring after December 31, 2010, the Executive agrees to render his services to the Company as an employee and as the Chairman of the Board, but not as President and Chief Executive Officer of the Company, and to render his services to the Bank as an employee and as the Chairman of the Board, but not as Chief Executive Officer of the Bank. The Executive shall perform such duties faithfully and diligently at all times. The Executive shall have no other employment while he is employed by the Company; provided, however, that the Executive may serve on the boards of directors of companies which do not compete with the Company and in such capacity attend regularly scheduled board meetings to the extent approved in writing in advance by the Board. When and if requested to do so by the Board, the Executive shall serve as a director and officer of any other subsidiary or affiliate of the Company. The Company shall notify the Executive if it believes that the Executive has breached any of his obligations under this Section 2; in such event, the Executive shall have thirty (30) days within which to cure such breach, other than a breach of his obligation to refrain from employment with any person or entity other than the Company or any of its subsidiaries or affiliates.
Duties of Employment. Employee agrees that, so long as he shall be employed by Employer, Employee shall perform all duties assigned or delegated to him under the By-Laws of Employer or from time to time by the Board of Directors of Employer consistent with his position as a senior executive officer of Employer, and shall perform all acts and services customarily associated with such position, devoting his full time, best efforts and attention to the advancement of the interests and business of Employer. Employee shall not be engaged in or concerned with any other duties or pursuits which are competitive or inconsistent with the interests and business of Employer. It is understood that Employee may have directorships which may, from time to time, require minor portions of his time, but which shall not interfere or be inconsistent with his duties hereunder.
Duties of Employment. During the Term, Employee will be employed to provide full-time services as Chief Financial Officer (“CFO”) of the Parent. Employee shall report directly to the Chief Executive Officer (“CEO”) of the Parent. Employee agrees to perform diligently and to the best of Employee’s abilities the duties and services consistent with and normally incidental to any position Employee holds, as well as any related or additional duties as may be assigned to Employee by the Parent from time to time. The Employee shall, if requested, also serve as an officer or director of any other member of the Company Group (including the Parent), as may be requested by the Company, the Parent or the Board of Managers or Board of Manager, as applicable, of the Parent (in either case, the “Board”) from time to time, for no additional compensation.
