Effect of Certification. 26 Any such certificate may be relied on by the Party who requested it and by any other person, firm or corporation to whom it 27 may be exhibited or delivered, and the contents of the certificate shall be binding on the Party executing it.
Effect of Certification. Where for reasons other than the implementation of this Agreement, the Austrian authority competent under Austrian law becomes aware of assets on which retroactive tax was paid in accordance with article 8 or which were voluntarily disclosed in accordance with article 10, the relevant person must provide evidence that tax liability on these assets has been discharged in accordance with this Agreement, or that these assets were disclosed to the competent Austrian authority in accordance with article 10. Presentation of a certificate issued by a Liechtenstein paying agent in accordance with articles 8 (3) or 10 (4) shall be considered evidence. Where the validity of the certificate is doubtful, the Austrian authority competent under Austrian law may request the competent Liechtenstein authority to verify the validity of the certificate with the cooperation of the competent Austrian authority. For this purpose, the competent Liechtenstein authority shall ensure that it is possible to relate every certificate to a one-off payment.

The parties agree and acknowledge that, except with respect to clause (c) of the first sentence of this Section 5.10, the Company’s compliance or failure of compliance with this Section 5.10 shall not be taken into account for purposes of determining whether the condition referred to in Section 6.3(b) shall have been satisfied.

Upon the issuance of any new Certificate under this Section 3.05, the Trustee and Authenticating Agent may require the payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in relation thereto and any other expenses (including the fees and expenses of the Trustee or the Authenticating Agent) connected therewith. Any replacement Certificate issued pursuant to this Section 3.05 shall constitute complete and indefeasible evidence of ownership in the applicable Trust Fund, as if originally issued, whether or not the lost, stolen or destroyed Certificate shall be found at any time.

Temporary Certificates shall be issuable as registered Certificates substantially in the form of the definitive Certificates but with such omissions, insertions and variations as may be appropriate for temporary Certificates, all as may be determined by the Trustees with the concurrence of the Paying Agent. Every temporary Certificate shall be executed by the Managing Trustee and be authenticated by the Paying Agent upon the same conditions and in substantially the same manner, and with like effect, as the definitive Certificates. Without unreasonable delay the Managing Trustee shall execute and shall furnish definitive Certificates and thereupon temporary Certificates may be surrendered in exchange therefor without charge at each office or agency of the Paying Agent and the Paying Agent shall authenticate and deliver in exchange for such temporary Certificates definitive Certificates for a like aggregate number of STRYPES. Until so exchanged, the temporary Certificates shall be entitled to the same benefits hereunder as definitive Certificates.

  • Effect of Certain Resolutions Neither the settlement or termination of any Proceeding nor the failure of the Company to award indemnification or to determine that indemnification is payable shall create a presumption that Indemnitee is not entitled to indemnification hereunder. In addition, the termination of any proceeding by judgment, order, settlement, conviction, or upon a plea of nolo contendere or its equivalent shall not create a presumption that Indemnitee did not act in good faith and in a manner which Indemnitee reasonably believed to be in or not opposed to the best interests of the Company or, with respect to any criminal Proceeding, had reasonable cause to believe that Indemnitee’s action was unlawful.
