Effect of Other Termination of Service. Upon a Termination of Service for any reason (other than death or Disability), the unexercised Option may thereafter be exercised during the period ending 90 days after the date of such Termination of Service, but only to the extent to which the Option was vested and exercisable at the time of such Termination of Service. Notwithstanding the foregoing, the Committee may, in its sole discretion, either by prior written agreement with the Option Holder or upon the occurrence of a Termination of Service, accelerate the vesting of unvested Options held by the Option Holder if the Option Holder's Termination of Service is without "cause" (as such term is defined by the Committee in its sole discretion) by the Company.

Effect of Other Termination of Service. In the event that the Grantee’s service as a Non-Employee Director shall terminate prior to the first anniversary of the Date of Grant in a manner other than any specified in Section 2(c) or (d) hereof, the Grantee shall forfeit any Deferred Shares that have not become nonforfeitable by such Grantee at the time of such termination; provided, however, that the Board upon recommendation of the Board Governance Committee may order that any part or all of such Deferred Shares become nonforfeitable.

For purposes of this Agreement, the date of the Option Holder’s Termination of Service shall be the earlier of: (a) the date on which the Option Holder ceases to render actual service to the Company or a Subsidiary of the Company; (b) the date on which the Company, a Subsidiary of the Company or the Option Holder first provides notice of Termination of Service; or (c) the first date of any statutory notice period provided under local law.
Effect of Other Termination of Service. If the Participant's service with the Company and its Subsidiaries terminates by reason of Disability or Retirement prior to the first anniversary of the Grant Date, then a pro rata portion of such Option shall immediately vest in full and may be exercised thereafter during the shorter of (A) the remaining term of such Option or (B) five years after the date of such termination of service, for a prorated number of Shares (rounded down to the nearest whole Share) equal to (x) the number of Shares subject to such Option multiplied by (y) a fraction the numerator of which is the number of days the Participant served on the Board subsequent to the Grant Date and the denominator of which is 365. If a Participant's service with the Company and its Subsidiaries terminates for any reason other than death, Disability or Retirement, the unexercised vested portion of such Option shall terminate thirty days following such termination of service.
