EFFECTIVENESS AND THE TERMS OF THE TRANSACTION. 2.1 The obligations of the parties under this Agreement (other than Clause 1, this Clause 2.1 and Clauses 15 to 17 (inclusive)) shall be conditional on the release of the Announcement via a Regulatory Newswire at or before 11.59 p.m. on the date of this Agreement, or such later time and date as the parties may agree (and, where required by the Takeover Code, approved by the Panel). Clause 1, this Clause 2.1 and Clauses 15 to 17 (inclusive) shall take effect on and from the execution of this Agreement.
EFFECTIVENESS AND THE TERMS OF THE TRANSACTION. 2.1 This agreement amends and restates the co-operation agreement between the parties dated 9 August 2017 which shall cease to have effect. The obligations of the parties under this agreement shall take effect on and from 9 August 2017 and references to the date of this agreement shall mean 9 August 2017.
