Elkhart. Summerville acknowledges that Landlord intends to refinance the Elkhart Facility by a mortgage to be purchased by the Federal National Mortgage Association ("FNMA" or "Xxxxxx Xxx"). Xxxxxxxxxxx, the Management Company, and the Tenant of the Elkhart Facility shall reasonably cooperate with Landlord in connection with this process, at no cost to Summerville, the Management Company, or such Tenant; provided, however, that in connection with the refinancing, Landlord shall cause the prospective Mortgagee, with all required authorization by FNMA, to execute and deliver a SNDA to the Tenant of the Elkhart Facility, prior to the granting of the new Mortgage.
Elkhart. Texas Roadhouse of Elkhart, LLC ("ELKHART") and Elkhart Merger Subsidiary LLC, a wholly-owned Kentucky limited liability company subsidiary of Property, shall merge, with Elkhart being the surviving limited liability company in the merger. The holders of membership interests of Elkhart other than Holdings shall receive shares of Class A Common Stock in the merger. As a result of the merger, Elkhart shall become a wholly-owned limited liability company subsidiary of Property. Elkhart and the Company acknowledge and agree that the merger shall constitute a part of the Roadhouse Exchange under IRC Section 351.
