Employment and Non-Compete Agreement. Contemporaneous with the signing of this Agreement, Xx. Xxxxxxx has entered into an employment agreement which contains provisions respecting his agreement not to compete with the Purchaser and its Subsidiaries (the "Employment and Non-Compete Agreement"). At the Closing, Michxxx xxxll have executed and delivered to the Representative employment and non-compete agreements with *in substantially the form attached hereto and made a part hereof as Exhibit E, (with such changes in amount of compensation as agreed upon in each case) (the "Employment and Non-Compete Agreements").

Xxxxxxx xxx Tina Xxxxx Xxxx xx substantially the form attached hereto and made a part hereof as Exhibit E, (with such changes in amount of compensation as agreed upon in each case) (the "Employment and Non-Compete Agreements").
Employment and Non-Compete Agreement. At the Closing, the Shareholders shall execute and deliver employment and non-competition agreements in the form attached hereto as Exhibit C- 1, C-2, C-3 and C-4, respectively (the "Employment and Non-Competixxxx Xxxxements").
Employment and Non-Compete Agreement. This Employment and Non-Compete Agreement ("Agreement") is entered into this 18th day of March, 1997 by and between Hoxxxx Xanufacturing Company ("HMC") and Stxxxxx X. Xxxxxx ("Hoxxxx"). The parties agree:
Employment and Non-Compete Agreement. Xxxxxxx XxXxxxx, Xxxx Xxxxxxxxxx and Xxxxx Xxxxxx shall have delivered employment and non-compete agreements, acceptable in form and substance to the Purchaser.
Employment and Non-Compete Agreement a. At Closing, the parties shall enter into an Employment Agreement whereby Buyer agrees to hire John X. Xxxxxx, XXI, as an employee, and John X. Xxxxxx, XXI, agrees to perform the tasks outlined therein, substantially in the form attached hereto and incorporated by reference as Exhibit "E". Said agreement shall be for a minimum period of two years from Closing, and shall provide for payments by Buyer to Swayxx xx the minimum amount of One Hundred Twenty Thousand Dollars ($120,000.00) for the first year following Closing in return for an average of three (3) weeks of work per month, and One Hundred Thousand Dollars ($100,000.00) for the second year following Closing in return for an average of two (2) weeks of work per month. Payments under the Employment Agreement shall be made on at least a monthly basis. Swayxx xxxll also receive standard employee benefits, expense reimbursements and other employee perquisites.
Employment and Non-Compete Agreement. Each of the Shareholders shall have duly executed and delivered Employment Agreements. Specified personnel of the Parties shall also deliver Non-Compete Agreements in substantially the same form attached as Exhibit I hereto, which may be incorporated into the employment agreement if appropriate.
Employment and Non-Compete Agreement. The Acquiror and Xx. Xxxx Xxxxxxxx shall have entered into a mutually acceptable Employment and Non-Competition Agreement which shall be in full effect and force as of the Closing Date.
