Common use of Employment Board Membership Clause in Contracts

Employment Board Membership. During the term of employment provided for in this Agreement, the Company agrees to employ the Executive in the office or position set forth in the second Recital of this Agreement, and the Executive agrees to serve in such office or position and to perform the duties and discharge the responsibilities associated therewith or such other duties and responsibilities as may reasonably be assigned to the Executive from time to time by the Board. The Executive shall not undertake executive responsibilities with any other corporation, partnership, association or other entity and shall devote the necessary and customary time and attention to the business and affairs of the Company and its subsidiaries, provided, however, that the Executive may, with the approval of the Board, serve as a director or officer of any non-competing business or engage in any other activity, including without limitation charitable or community activity, to the extent that it does not inhibit the performance of his duties hereunder. Subject to applicable fiduciary duties, the Executive shall be nominated for membership on the Board and the board of directors of the Company's bank subsidiary.
