Employment Compensation and Other Benefits. Base Salary - During the term of this Agreement, Crown will pay to Antonazzo a minimum base salary of One Hundred Thousand Dollars ($100,000.00) per annum (the "Annual Salary"); plus merit (1), cost of living or other salary increases accorded and as similarly situated Crown officers, and an additional $270,626.00 deferred compensation, all payable as follows, to the extent Antonazzo remains an actively employed Crown employee through the dates indicated: One Hundred Thousand Dollars per year payable bi-monthly or on such pay schedule as is established by Crown for its employees; Deferred payments in accordance with the following schedule (the "deferred payments"): 10/01/99 - nineteen thousand eight hundred sixty-eight dollars ($19,868.00) 01/03/00 - seventy-three thousand thirty-three dollars ($73,033.00) 01/03/01 - sixty-seven thousand four hundred thirty-six dollars ($67,436.00) 01/03/02 - sixty-two thousand two hundred sixty-eight dollars ($62,268.00) 09/03/02 - the balance of forty-eight thousand twenty-three dollars ($48,023.00) Antonazzo and Crown hereby Acknowledge and Agree that the deferred payments set forth in Paragraphs 3 A (ii) (a-d) have been reduced from $306,000.00 to $270,626.00 owing to a reduction to present value as of the Effective Date of this Agreement (2). Said reduction has been calculated at the rate of 8% per annum for the three year term of this Agreement.

Related to Employment Compensation and Other Benefits

  • Compensation and Other Benefits Subject to the provisions of this Agreement, the Company shall pay and provide the following compensation and other benefits to the Executive during the Term as compensation for services rendered hereunder:

  • Vacation and Other Benefits Each Contract Year, Executive shall be entitled to four (4) weeks of paid vacation in accordance with Employer’s applicable policies and procedures for executive-level employees. Executive shall also be eligible to participate in and receive the fringe benefits generally made available to other executive-level employees of Employer in accordance with and to the extent that Executive is eligible under the general provisions of Employer’s fringe benefit plans or programs; provided, however, that Executive understands that these benefits may be increased, changed, eliminated or added from time to time during the Term as determined in Employer’s sole and absolute discretion.

  • Executive Perquisites, Benefits and Other Compensation Employee shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:

  • Insurance and Other Benefits During the Employment Period, the Executive and the Executive’s dependents shall be entitled to participate in the Company’s insurance programs and any ERISA benefit plans, as the same may be adopted and/or amended from time to time (the “Benefits”). The Executive shall be entitled to paid personal days on a basis consistent with the Company’s other senior executives, as determined by the Board. The Executive shall be bound by all of the policies and procedures established by the Company from time to time. However, in case any of those policies conflict with the terms of this Agreement, the terms of this Agreement shall control.

  • Expense Reimbursement and Other Benefits (a) During the term of Executive’s employment hereunder, pursuant to Applica’s Travel and Expense Policy and upon the submission of proper substantiation by the Executive, including copies of all relevant invoices, receipts or other evidence reasonably requested by Applica, Applica shall reimburse the Executive for all reasonable expenses actually paid or incurred by the Executive in the course of and pursuant to the business of Applica or any Affiliates.

  • Severance Compensation and Benefits Not in Derogation of Other Benefits Anything to the contrary herein contained notwithstanding, the payment or obligation to pay any monies, or granting of any benefits, rights or privileges to Executive as provided in this Agreement shall not be in lieu or derogation of the rights and privileges that the Executive now has or will have under any plans or programs of or agreements with the Company, except that if the Executive received any payment hereunder, the Executive shall not be entitled to any payment under the Company’s severance policy for officers and directors.

  • Expenses and Other Benefits 6.1 The Company shall promptly reimburse to the Executive all reasonable travel and other out of pocket expenses properly incurred by him in the performance of his duties under the Employment. The Executive will submit claims for expenses reimbursement to the Company regularly with appropriate supporting documentation.

  • Other Compensation and Benefits Except as may be provided under this Agreement,

  • No Other Benefits Executive understands and acknowledges that the compensation specified in Sections 2 and 3 of this Agreement shall be in lieu of any and all other compensation, benefits and plans.

  • Other Benefits During the Term, the Executive shall be eligible to participate in or receive benefits under the Company’s employee benefit plans in effect from time to time, subject to the terms of such plans.
