Expenses and Other Benefits. 6.1 The Company shall promptly reimburse to the Executive all reasonable travel and other out of pocket expenses properly incurred by him in the performance of his duties under the Employment. The Executive will submit claims for expenses reimbursement to the Company regularly with appropriate supporting documentation. 6.2 The Executive is eligible to participate in the GlaxoSmithKline Car Allowance and Employee Car Ownership Scheme (ECOS) subject to the rules of the Scheme as amended from time to time provided that pursuant to the Xxxxxxxx-Xxxxx Xxx 0000, the Executive shall not be entitled to receive the cash loan component of the ECOS. The Executive will receive a cash allowance which will be appropriate to a GSK Band A executive. Full details of the Scheme are available on the TotalReward section on myGSK. 6.3 The medical benefit arrangements for the Executive and his family are as set out in the GlaxoSmithKline Executive Medical Plan (as amended from time to time). Details, including eligibility criteria, are set out in the TotalReward section on myGSK. 6.4 The Company at its expense shall provide the Executive with other benefits provided to executives of the Company of the same grade, and the Executive shall be entitled to participate in all benefit plans, practices and policies as are made available by the Company from time to time to its executives generally of the same grade subject to their terms and conditions from time to time in force. A list of all plans and programmes currently in operation is set out in Appendix 2. Details of the relevant plans and programmes are set out in the TotalReward section on my GSK. 6.5 The Company (and GSK plc, as applicable) reserves the absolute right and discretion to amend, modify or terminate all such benefits, plans and programmes as are referred to in Sections 5.2, 6.2, 6.3, 6.4 and 8 at any time and for any reason.

Expenses and Other Benefits. Executive shall be (i) reimbursed for all reasonable expenses incurred by him in performing services hereunder, provided that Executive properly accounts therefor in accordance with Company policy, and (ii) entitled to participate in or receive benefits under any employee benefit plan or other arrangement made available by the Company now or in the future to its senior executive officers and key management employees, other than the Company's Chief Executive Officer, subject to and on a basis consistent with the terms, conditions, and overall administration of such plan or arrangement.

Notwithstanding the foregoing, the Company shall provide the Executive, at a minimum, with the following benefits: (a) Coverage, at no expense to the Executive, of the Executive, his wife, if any, and those of his children who qualify as his dependents under Section 152 of the Internal Revenue Code of 1954, under a major medical insurance program with an annual cumulative deductible amount of no more than $500; (b) Coverage of the Executive by life insurance, payable to his designated beneficiary, in the amount of $1,000,000 and, in the event of accidental death or dismemberment, in the amount of $2,000,000. Coverage shall begin the first day of the Term of Employment hereunder and shall continue throughout the Term of Employment; and (c) A paid vacation of four (4) weeks, in addition to any authorized holidays of the Company, during each 12-month period during the Term of Employment.

(d) Incentive Stock Option Compensation - The Company will grant the Executive 250,000 Incentive Stock Options (ISO’s) at a price of $1.88 per share. The ISOs shall vest ratably over the 12 months beginning July 1, 2005. The form of such share grant is attached hereto as Exhibit “A.” Notwithstanding anything to the contrary contained in the options, all of the Executive’s options will immediately vest upon a “Change of Control Event,” as defined in Section 10 hereof.
Expenses and Other Benefits. The Company shall pay the Executive any out-of-pocket expenses reasonably incurred by the Executive in the performance of his duties under this Agreement, upon submission of written evidence of such expenses and in accordance with the Company’s expense policy in force from time to time and subject to prior written approval by the Company.
