Common use of Employment Duties and Acceptance Clause in Contracts

Employment Duties and Acceptance. The Company hereby employs the Executive, and the Executive agrees to serve and accept employment with the Company, as Chief Executive Officer, reporting directly to the Board of Directors of the Company (the “Board”). As Chief Executive Officer, the Executive shall oversee and direct the operations of the Company and perform such other duties consistent with the responsibilities of the Chief Executive Officer, all subject to the direction and control of the Board. During the Term (as defined below) the Executive shall devote substantially all of his working time and efforts to such employment.

As Chief Executive Officer, the Executive shall oversee and direct the operations of the Company and perform such other duties consistent with the responsibilities of the Chief Executive Officer, all subject to the direction and control of the Board. During the Term (as defined below) the Executive shall devote substantially all of his working time and efforts to such employment.

Employment Duties and Acceptance. The Company hereby employs the Executive, and the Executive agrees to serve and accept employment with the Company, Company as Co-Chief Executive Operating Officer, reporting directly to the Board of Directors Chairman & Chief Executive Officer of the Company Company, with responsibility for managing the Company's Global Battery and Personal Care Business (the “Board”). As Chief Executive Officer, "Legacy Business") and the Executive shall oversee Home and direct the operations of the Company and perform such other duties consistent with the responsibilities of the Chief Executive Officer, all subject to the direction and control of the BoardGarden Business. During the Term (as defined below) the Executive shall devote substantially all of his working time and efforts to such employment.

The Company hereby employs the Executive, and the Executive agrees to serve and accept employment with the Company, Company as Executive Vice President and Chief Executive Financial Officer, reporting directly to the Board of Directors President and Chief Operating Officer of the Company (the “Board”). As Chief Executive Officer, the Executive shall oversee and direct the operations of the Company and perform such other duties consistent with the responsibilities of the Chief Executive Officer, all subject to the direction and control of the BoardCompany. During the Term (as defined below) and the Executive shall devote substantially all of his working time to such employment and appointment, shall devote his best efforts to such employmentadvance the interests of the Company.

Employment Duties and Acceptance.
