Common use of Employment Position and Duties Clause in Contracts

Employment Position and Duties. The Company agrees to continue to employ Xxxxxxxx, and Xxxxxxxx agrees to continue to be employed by the Company, upon the terms and conditions of this Agreement. Xxxxxxxx shall be employed by the Company as the Company’s Chief Executive Officer reporting to the Board of Directors of the Company (the “Board”). In this capacity, Xxxxxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxx’x duties shall include all those duties customarily performed by the Chief Executive Officer, as well as those additional duties commensurate with his position as Chief Executive Officer that may be reasonably assigned by the Board. Xxxxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Xxxxxxxx.

Xxxxxxxx Xxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxXxxxxx. To the extent there is any conflict between those policies and this Agreement, this Agreement shall govern.

To the extent there is any conflict between those policies and the Employment Agreement, the Employment Agreement shall govern.

Xxxxxxxx’x Manager’s duties shall include all those duties customarily performed by the Chief Executive OfficerCFO, as well as those additional duties commensurate with his position as Chief Executive Officer CFO that may be reasonably assigned by the BoardChief Executive Officer or the Company. Xxxxxxxx Manager shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxManager.

Xxxxxxxx’x Manager’s duties shall include all those duties customarily performed by the Chief Executive OfficerEVP - Sales, as well as those additional duties commensurate with his position as Chief Executive Officer EVP - Sales that may be reasonably assigned by the BoardChief Executive Officer or the Company. Xxxxxxxx Manager shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxManager.

In this capacity, Xxxxxxxx Xxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxx’x Xxxxx’x duties shall include all those duties customarily performed by the Chief Executive OfficerPresident, as well as those additional duties commensurate with his position as Chief Executive Officer President that may be reasonably assigned by the BoardBoard of Directors or the Company. Xxxxxxxx Xxxxx shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered handbook. During his term of employment, Xxxxx shall be entitled to Xxxxxxxxserve on the Company’s Board of Directors.

Xxxxxxxx’x Xxxxxxxxx’x duties shall include all those duties customarily performed by the Chief Executive Officer, as well as those additional duties commensurate with his position as Chief Executive Officer that may be reasonably assigned by the BoardManagers. Xxxxxxxx Xxxxxxxxx shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxXxxxxxxxx.

Xxxxxxxx Busky shall be employed by the Company as the Company’s Chief Executive Financial Officer (“CFO”), reporting to the Board of Directors Chief Executive Officer of the Company (the “BoardCEO”). In this capacity, Xxxxxxxx Busky agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxx’x Busky’s duties shall include all those duties customarily performed by the Chief Executive OfficerCFO, as well as those additional duties commensurate with his position as Chief Executive Officer CFO that may be reasonably assigned by the CEO or the Board of Directors of the Company (the “Board”). Xxxxxxxx Busky shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxBusky.

Xxxxxxxx Manager shall be employed by the Company as the Company’s Chief Executive Officer EVP Sales reporting to the President, Board of Directors of the Company (the “Board”)and/or other Executives that are duly appointed from time to time. In this capacity, Xxxxxxxx Manager agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxx’x Manager’s duties shall include all those duties customarily performed by the Chief Executive OfficerEVP Sales, as well as those additional duties commensurate with his position as Chief Executive Officer EVP Sales that may be reasonably assigned by the BoardCompany. Xxxxxxxx Manager shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxManager.
