Common use of Employment Position and Duties Clause in Contracts

Employment Position and Duties. From and after the Effective Date, Executive shall continue to be employed by the Company as the Executive Vice President, General Counsel and Corporate Secretary of the Company. Executive will report directly to the Executive Vice President, Head of Operations Excellence of the Company or to the Chief Executive Officer, to the extent that the Chief Executive Officer so designates. In this capacity, Executive agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Executive’s duties shall include all those duties customarily performed by a general counsel at a company similar to the Company, as well as those additional duties that may be reasonably assigned by the Head of Operations Excellence or the Chief Executive Officer or the Company’s Board of Directors (the “Board”). Executive shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook.

From The Company agrees to employ Manager, and after Manager agrees to be employed by the Effective DateCompany, Executive upon the terms and conditions of this Agreement. Manager shall continue to be employed by the Company as the Executive Vice Company’s EVP Sales reporting to the President, General Counsel and Corporate Secretary Board of the Company. Executive will report directly Directors and/or other Executives that are duly appointed from time to the Executive Vice President, Head of Operations Excellence of the Company or to the Chief Executive Officer, to the extent that the Chief Executive Officer so designatestime. In this capacity, Executive Manager agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. ExecutiveManager’s duties shall include all those duties customarily performed by a general counsel at a company similar to the CompanyEVP Sales, as well as those additional duties commensurate with his position as EVP Sales that may be reasonably assigned by the Head of Operations Excellence or the Chief Executive Officer or the Company’s Board of Directors (the “Board”). Executive Manager shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbookhandbook previously delivered to Manager.

In this capacity, Executive Manager agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. ExecutiveManager’s duties shall include all those duties customarily performed by a general counsel at a company similar to the CompanyExecutive Vice President of Operations, as well as those additional duties commensurate with his position as Executive Vice President of Operations that may be reasonably assigned by the Head of Operations Excellence or the Chief Executive Officer or the Company’s Board of Directors (the “Board”). Executive Manager shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbookhandbook previously delivered to Manager.

In this capacity, Executive Manager agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. ExecutiveManager’s duties shall include all those duties customarily performed by a general counsel at a company similar to the CompanyCFO, as well as those additional duties commensurate with his position as CFO that may be reasonably assigned by the Head of Operations Excellence or the Chief Executive Officer or the Company’s Board of Directors (the “Board”). Executive Manager shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbookhandbook previously delivered to Manager.

Employment Position and Duties. From The Company agrees to employ Executive, and after Executive agrees to be employed by the Effective DateCompany, upon the terms and conditions of this Agreement. Executive shall continue to be employed by the Company as the Executive Vice President, General Counsel and Corporate Secretary Chief Information Officer of the Company. Executive will report directly to the Executive Vice President, Head of Operations Excellence of the Company or to the Chief Executive Officer, to the extent that such other senior management position as determined by the Chief Executive Officer so designatesof the Company from time to time. In this capacity, Executive agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Executive’s duties shall include all those duties customarily performed by a general counsel at similarly situated member of senior management of a company similar to the Company, as well as those additional duties that may be reasonably assigned by the Head of Operations Excellence or the Chief Executive Officer or the Company’s Board of Directors of the Company (the “Board”). Executive shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook.
