Employment Position and Duties. The Company agrees to continue to employ Xxxxxxxxxx, and Xxxxxxxxxx agrees to continue to be employed by the Company, upon the terms and conditions of this Agreement. Xxxxxxxxxx shall be employed by the Company as the Company’s Chief Commercial Officer reporting to the Chief Executive Officer of the Company (the “CEO”) and to the Board of Directors of the Company (the “Board”). In this capacity, Xxxxxxxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxxxx’x duties shall include all those duties customarily performed by a Chief Commercial Officer, as well as those additional duties commensurate with his position as Chief Commercial Officer that may be reasonably assigned by the CEO and the Board. Xxxxxxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Xxxxxxxxxx. To the extent there is any conflict between those policies and this Agreement, this Agreement shall govern.

Xxxxxxxxxx Xxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to XxxxxxxxxxXxxxxx. To the extent there is any conflict between those policies and this Agreement, this Agreement shall govern.

Employment Position and Duties. The Company hereby agrees to continue employ Mx. Xxxxxxxx during the Term hereof (as set forth in Paragraph 4 herein) to employ Xxxxxxxxxxact as, to exercise all of the powers and Xxxxxxxxxx agrees functions of, to continue perform such acts and duties and generally to be employed furnish such services to the Company and its subsidiaries (if any) as is customary for a senior management person with a similar position in like companies; and he shall have such specific powers, duties and serve as President and Chief Operating Officer or such other executive positions as determined by the Company, upon the terms Board of Directors and conditions of this Agreement. In this capacity, Xxxxxxxxxx Rxxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxxxx’x Rxxxxx’ duties shall include all those duties customarily performed by a Chief Commercial Financial Officer, as well as those additional duties commensurate with his position as Chief Commercial Financial Officer that may be reasonably assigned by the CEO and the Board. In this capacity, Xxxxxxxxxx Xxxxxxxxx agrees to devote a reasonable (in relation to his amended duties and compensation) amount of time and, during that time, his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxxxx’x Xxxxxxxxx’x duties shall include all those duties customarily performed by a Chief Commercial Officerthe development of Enterprise accounts, as well as those participation in designated investor relations functions and any additional duties commensurate with his position as Chief Commercial Officer that may be reasonably assigned by the CEO and or the Board of Directors of the Company (the “Board”). Xxxxxxxxxx Xxxxxxxxx shall comply with any policies and procedures established for Company employees, including, including without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Xxxxxxxxxx.
