Endorsements to Owner’s Policy. It is understood that Buyer may request a number of endorsements to the Owner’s Policy However, the issuance of such endorsements shall not be a condition to Closing.

Endorsements to Owner’s Policy. It is understood that Buyer may request a number of endorsements to the Owner’s Policy. Buyer shall satisfy itself prior to the expiration of the Title Review Period whether Title Company will be willing to issue such endorsements at the Closing and the issuance of such endorsements shall not be a condition to the Closing.
Endorsements to Owner’s Policy. It is understood that Buyer may request a number of endorsements to or extended coverage for its Owner’s Policy. Buyer shall satisfy itself during the Title Review Period that the Title Company will be willing to issue such endorsements or extended coverage in connection with the Owner’s Policy at Closing, and, accordingly, in no event shall the issuance of such endorsements or extended coverage constitute a condition to Buyer’s obligations under this Agreement. In no event shall Seller be obligated to provide any indemnity or other document in order to issue the same other than the certificate in the form of Exhibit E (the “Seller’s Title Certificate”).

Buyer shall satisfy itself during the Due Diligence Period that the Title Company will be willing to issue such endorsements in connection with Owner’s Policy at Closing. The issuance of any such endorsements shall be at Buyer’s sole cost and expense and shall not be a condition to Closing, and in no event shall Seller be obligated to provide any indemnity, affidavit or other document in order to cause the Title Company to issue the Owner’s Policy or any endorsements other than Title Company’s customary owner’s title affidavit as is required to remove exceptions for mechanics’ liens and rights of parties in possession and other items covered by Minnesota’s Uniform Conveyancing Blanks seller affidavit (an “Owner’s Affidavit”).
Endorsements to Owner’s Policy. It is understood that Buyer may request a number of endorsements to the Title Policy, in addition to the required Map Act Endorsement. Buyer shall satisfy itself prior to the Due Diligence Expiration Date that the Title Company will be willing to issue such additional endorsements in connection with the Title Policy at Closing; provided, however, the issuance of any such additional endorsement shall not be a condition to Closing unless Buyer delivers to Seller prior to the Due Diligence Expiration Date a copy of a written acknowledgement issued by the Title Company confirming the Title Company’s willingness to issue any such additional endorsement in the form requested by Buyer. In no event shall Seller be obligated to provide any indemnity or other document in order to issue the same, other than an owner’s certificate in the form of Exhibit H attached hereto and such other affidavit and/or indemnity with respect to mechanics’ liens for work of improvements contracted by Seller or Seller’s Affiliate prior to the Closing Date in forms agreed upon by Seller and Title Company prior to the expiration of the Due Diligence Period.

In no event shall Seller be obligated to provide any indemnity or other document in order to issue the same, other than an owner’s certificate in the form of Exhibit C attached hereto and such other affidavit and/or indemnity with respect to mechanics’ liens for work of improvements contracted by Seller prior to the Closing Date in forms agreed upon by Seller and Title Company prior to the Effective Date.

Buyer shall satisfy itself during the Due Diligence Period that the Title Company will be willing to issue such endorsements in connection with Owner’s Policy at Closing and, to the extent the Title Company agrees in writing to issue such form of policy and such endorsements (without requiring an indemnity, affidavit or other assurances from Seller other than a certificate in the form of Exhibit “B” attached hereto), the issuance of the same shall be a condition to Closing. In no event shall Seller be obligated to provide any indemnity or other document in order to issue the same other than a certificate in the form of Exhibit “B” attached hereto. Buyer shall deliver or cause Title Company to deliver to Seller a copy of Title Company’s written commitment to issue the Owner’s Policy, including the form thereof and all agreed upon endorsements thereto, if at all, prior to the expiration of the Due Diligence Period.

Buyer has satisfied itself prior to the date of this Agreement that Title Company will be willing to issue such endorsements and such form of policy at Closing and, to the extent Title Company has agreed in writing prior to the date of this Agreement to issue such form of policy and such endorsements (without requiring any indemnity, affidavit or other assurance from Seller other than a certificate in the form of Exhibit “C”), the issuance of the same at Closing shall be a condition to Closing; and otherwise, the issuance of such endorsements or extended coverage shall not be a condition to Closing. However, the issuance of such additional endorsements (other than the endorsements issued to Seller by the Title Company to its owner's policy dated November 7, 2005 (except for the mezzanine loan endorsements) and a comprehensive endorsement shall not be a condition to Closing and in no event shall Seller be obligated to provide any indemnity or other document in order to issue such additional endorsements.

Buyer shall satisfy itself during the Due Diligence Period that Title Company will be willing to issue such endorsements or extended coverage in connection with the Owner’s Policy at Closing, and, accordingly, in no event shall the issuance of such endorsements, extended coverage or the Owner’s Policy constitute a condition to Buyer’s obligations under this Agreement so long as Seller complies with its obligations under this Section 4 and delivers the Seller’s Title Certificate to Title Company. In no event shall Seller be obligated to provide any indemnity or other document in order to issue the same other than the certificate in the form of Exhibit E (the “Seller’s Title Certificate”).
