If any provision or any portion of any provision of this Agreement shall be held invalid, illegal, or unenforceable under either the laws of the United States or the country in which the USP&E is located, the remainder of this Agreement shall remain valid and enforceable. The failure of either party to enforce at any time any provision hereof shall not be construed to be a waiver of the right to enforce such provision or of the provision itself.

This Stock Agreement (together with the License Agreement) constitutes the full and entire understanding and agreement between the parties regarding the matters set forth herein.
