Engagement, Terms and Services. The Investor hereby engages The Project Manager to set up and manage a truck company as a revenue generating investment (for The Investor). The Project Manager, agrees to: accept this investment (The Principal), pay back the Principal in addition to an ROI within an agreed upon time frame and/or financial milestone. The Client hereby grants The Project Manager the right to manage and operate its freight business as follows: To (acquire as necessary) operate a truck fleet and ancillary equipment as The Project Manager deems necessary; in order to fulfill financial obligations in This Agreement. The Client is a passive investor, and as such, is not involved in the day-to-day operation or decision making of the truck company unit(s) set up by The Project Manager. The Project Manager reserves the right to deploy the invested funds, anyway he deems relevant, within the scope of truck equipment acquisition and/or supportive infrastructure, in order to meet the agreed upon financial terms in This Agreement. The Client’s freight company is set up (LLC or INC.) by The Project Manager, who manages this entity and all assets within it, to meet the agreed upon financial stipulations in This Agreement. The Project Manager may hire or engage a subcontractor, at its sole discretion, to perform any or all of its obligations under This Agreement; provided, however, that The Project Manager shall in all cases remain primarily responsible for all of the obligations under This Agreement with respect to the scope of The Services provided, The Standard for services as set forth in Exhibit A and the content of the Services. The Subcontractor will be granted the same rights as the Project Manager under This Agreement. All such Subcontractors shall be consistent with the terms of This Agreement, and will execute all business actions accordingly. As defined in This Agreement, "Subcontractor" will mean any individual, partnership, corporation, firm, association, unincorporated organization, joint venture, trust or other entity engaged to perform services on behalf of The Project Manager, for The Client.

This access shall include access to all features, functions, and capabilities of the Hybrid Loop that are not used to transmit packetized information.
