Entire Agreement Herein. The parties understand and agree that their entire agreement is contained herein and that no warranties, guarantees, statements, or representations shall be valid or binding on a party unless set forth in this Contract. It is further understood and agreed that all prior understandings and agreements heretofore had between the parties are merged in this Contract which alone fully and completely expresses their agreement and that the same is entered into after full investigation, neither party relying on any statement or representation not embodied in this Contract. This Contract may be changed, modified, altered or terminated only by a written agreement signed by the parties hereto.

Entire Agreement Herein. This Agreement and the documents referred to herein, including but not limited to the Stock Purchase Agreement, contain the entire agreement between the parties and supersede any prior understandings, agreements or representations by or between the parties, written or oral, which may have related to the subject matter hereof in any way. Except for the representations made by Seller in Articles 12 and 15 of this Contract, (i) neither Seller, nor the employees, property manager, agents, brokers, representatives, advisors, accountants or attorneys of Seller, have made any verbal or written representations or warranties whatsoever with respect to the physical condition of the Premises, the revenues and expenses generated by and associated with the Premises, zoning or other laws, regulations and rules applicable thereto or the compliance by the Premises therewith, or any other matters, (ii) neither Seller nor Buyer has relied or will rely upon any representations or warranties made or to be made by the other except as specifically set forth in this Contract, (iii) Buyer and Seller acknowledge that no such representations or warranties have been made by the other except as specifically set forth in this Contract, and (iv) except as specifically set forth in this Contract, the sale of the Property shall be without any warranty or representation of any kind, express or implied, including without limitation any warranty of income potential, expenses, uses, merchantability, or fitness for a particular purpose, all of which are hereby expressly disclaimed by Buyer. It is further understood and agreed that all prior understandings and agreements heretofore had between the parties including, without limitation, that certain letter of intent dated September 25, 1996, are merged in this Contract which alone fully and completely expresses their agreement and that the same is entered into after full investigation, neither party relying on any statement or representation not embodied in this Contract. This Contract may be changed, modified, altered or terminated only by a written agreement signed by the parties hereto.

  • Entire Agreement This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter contained in this Agreement and supersedes all prior agreements, understandings and negotiations between the parties.
