Common use of Entire Agreement; Modifications; Conflicts Clause in Contracts

Entire Agreement; Modifications; Conflicts. This Agreement supersedes all prior agreements, written or oral, between DESIGN BUILD CONTRACTOR and City and shall constitute the entire Agreement and understanding between the parties with respect to the subject matter hereof. This Agreement and each of its provisions shall be binding upon the Parties and may not be waived, modified, amended or altered except by a writing signed by City and DESIGN BUILD CONTRACTOR. If there is a conflict between this Agreement and the Conditions of the Contract, then the provision which provides the greatest benefit to City shall govern.
