Entire Agreement; Modifications; Waivers. This Agreement constitutes the entire agreement between the parties pertaining to its subject matter, and supersedes all prior and contemporaneous agreements, arrangements and understandings between the parties with respect to such subject matter. We may amend any of the terms and conditions contained in this Agreement (including any of the Service Terms) at any time and at our sole discretion. Any changes will be effective upon the posting of such changes on the Viator Partner Program platform or otherwise upon notification to you by any means, and you are responsible for reviewing and informing yourself of all applicable changes or notices. YOUR CONTINUED USE OF ANY SERVICE AFTER VIATOR’S POSTING OF ANY CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS. In no event will a waiver of any right hereunder constitute the waiver of the right in a future instance unless the waiver so specifies in writing. Any modification, amendment, or waiver effected in accordance with this Section shall be binding upon each of the Parties, and each of their respective successors and assigns.
Entire Agreement; Modifications; Waivers. This Agreement represents the entire agreement of the Parties with respect to the subject matter hereof and supersedes all other agreements, written or oral, between the Parties relating to the Services. As of the Effective Date hereof, any and all Service provided pursuant to any prior agreements shall be provided pursuant to the terms of this Agreement. This Agreement may only be modified by written agreement of both parties. No term herein shall be deemed waived or breach or default excused unless in writing and signed by the party against which it is to be enforced. Additionally, no consent by a Party to, or waiver of, a breach or default by the other, whether express or implied, shall constitute a consent to or waiver of, any subsequent breach or default.

The Confidentiality Agreement, this Agreement and the documents executed and delivered as contemplated hereby constitute the entire agreement between the parties hereto pertaining to the subject matter hereof and supersede all prior agreements and understandings of the parties in connection therewith. No modification of this Agreement shall be binding unless executed in writing by each of the parties hereto. No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any provision hereof (whether or not similar) nor shall any such waiver constitute a continuing waiver.

This Agreement, together with the Confidentiality Agreement, sets forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes all prior or contemporaneous discussions, understandings, offer letters and agreements (including the Original Offer Letter), whether oral or written, between them relating to the subject matter hereof. This Agreement may not be modified except in a writing signed by the CEO and you. Any waiver of any breach of this Agreement must be signed by the party waiving such right and any such waiver shall not operate or be construed as a waiver of any subsequent breach. Each and every right, remedy and power hereby granted to any party or allowed it by law shall be cumulative and not exclusive of any other.

This Agreement and the exhibits and schedules hereto and the Servicing Purchase Agreement and the exhibits and schedules thereto constitute the entire agreement between the parties hereto pertaining to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations and discussions of the parties in connection therewith not referred to herein. No supplement or modification, and no termination, except as permitted by Section 19 of this Agreement, shall be binding unless executed in writing by both parties, and no waiver of any provision of, breach of or default under this Agreement shall be considered binding unless executed in writing by the party granting such waiver. No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision hereof nor shall any such waiver constitute a continuing waiver.

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter described herein, and supersedes and replaces all prior or contemporaneous oral or written agreements between them relating to such subject matter. Any modification to this Agreement shall be executed, in writing, and signed by an authorized representative of NASA and Partner. Without limiting the generality of the previous sentence, any waiver of any right or obligation under this Agreement must be in a writing, signed by the waiving Party, that clearly states that Party’s intent to waive. No failure or delay of one Party to require performance by the other of any provision of this Agreement shall in any way adversely affect such Party’s right to subsequently require full performance of such provision. No waiver by one Party of a breach of any provision of this Agreement shall be considered a waiver by such Party of any succeeding breach of such provision.

(a) This Sales Quotation (including any materials expressly referred to herein) constitutes the sole and entire Agreement between the parties hereto concerning the subject matter hereof and supersedes all previous negotiations, purchase orders, agreements, warranties and other communications, oral or written, related thereto.

Neither any waiver by any party of any condition, nor any breach of any provision, term, covenant, representation or warranty, contained in this Agreement, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such condition, or of the breach of any other provision, term, covenant, representation or warranty of this Agreement.
