Equipment Documents. 4.1. SUPPLIER shall deliver to SODECIA Equipment Documents listed in the SC and provide any clarifications requested by SODECIA or necessary to commission, operate and maintain the Equipment. Such information and drawings shall be supplied in number of copies agreed upon or at least one copy each. 4.2. SUPPLIER shall send to SODECIA regular updated reports on the work in progress regarding the Equipment and inform SODECIA on all requested items during the design, construction, and test of the Equipment. 4.3. SUPPLIER shall propose the supply of Components subject to rapid wear and tear to be held in reserve, including standard Components.

Equipment Documents. In the case of each Loan to finance new Equipment: (i) Borrowers shall have delivered to Agent invoices and such other documents as requested by Agent to evidence the applicable Borrower’s acquisition of the respective Equipment purchased or acquired with the proceeds of such Loan, or to be so purchased or acquired, and the cost of the same; (ii) Borrowers shall have delivered evidence satisfactory to Agent that such Equipment is not be subject to any Liens other than Permitted Encumbrances; (iii) Borrowers shall have delivered evidence satisfactory to the Agent that the Equipment is properly insured; and (iv) Borrowers shall execute and deliver, or cause to be executed and delivered, to Agent such Loan Documents as Agent may deem necessary or appropriate for the creation and perfection of a purchase money Lien upon such Equipment, free and clear of all other Liens and encumbrances except Permitted Encumbrances.
Equipment Documents. Furnish Buyer with a copy of all accounts, books, ledgers and official and other records of whatsoever kind relating to the Equipment including without limitation, purchase agreements, purchase orders, invoices, specifications and technical, engineering, and operating manuals relating to the Equipment which are in the possession, custody or control of Seller (collectively, the “Equipment Documents”). ​
Equipment Documents. Seller has delivered to Buyer true and complete copies of the Equipment Documents. There are no uncured defaults by any party under any of the Equipment Documents. No event or condition exists which constitutes, or after notice or lapse of time or both would constitute, a default any Equipment Document, either by Seller, or to the knowledge of Seller, any other party thereto, and Seller has complied with all provisions of the Equipment Documents. All of Seller’s right, title and interest under the Equipment Documents are assignable, no consent to any such assignment is required or, to the extent required, such consent has been obtained and, following the Closing, all such right, title and interest shall be effectively and completely conveyed and assigned to Buyer.

The School shall not act as a guarantor of any such financing agreement.

  • Project Documents In addition to any other pertinent and necessary Project documents, the following documents shall be used in the development of the Project: A. TxDOT 2011 Texas Manual of Uniform Traffic Control Devices for Streets and Highways, including latest revisions B. Texas Department of Transportation's Standard Specifications for Construction of Highways, Streets, and Bridges, 2014 (English units)

  • Equipment Leases Landlord shall enter into such leases of equipment and personal property as Tenant may reasonably request from time to time, provided that the form and substance thereof shall be reasonably satisfactory to Landlord. Tenant shall prepare and deliver to Landlord all such lease documents for which Landlord's execution is necessary and Landlord shall promptly, upon approval thereof, execute and deliver such documents to Tenant. Tenant shall, throughout the Term, be responsible for performing all of Landlord's obligations under all such documents and agreements, including without limitation, all Contracts, as defined in the Purchase Agreement.
