Equipment Sharing. Each of IDRI and Corixa shall allow the other the reasonable use of certain scientific and computer equipment from time to time as reasonably requested, subject in all cases to each party's right to limit access based upon its own demand for such equipment. Corixa and IDRI agree that the vast majority equipment provided by Corixa and any use of IDRI's equipment by Corixa is minor. IDRI shall pay Corixa for the maintenance and cost of the equipment as provided for in Schedule 3 as amended from time to time.

Equipment Sharing. In the event that any equipment, devices or other tangible assets (“Equipment”) are provided by one Party to another, or any of their representatives, employees or contractors in connection with their performance of the Collaboration, the following conditions shall apply: (a) the Equipment will be made available to such Party, as applicable, and used by such Party for the sole purpose of performance of the Collaboration and in accordance with such reasonable policies and procedures the Parties may agree to from time to time; (b) title to, and ownership of and all property rights in any Equipment shall remain with the original owner of the Equipment, as applicable, and Parties shall not perform, and shall cause its employees to perform any act that is inconsistent with the foregoing; and (c) upon expiry or termination of this Agreement, unless otherwise agreed in writing by the Parties, each Party shall cause the return of the Equipment to the original owner, as applicable, in good operating condition, subject to reasonable wear and tear, to such address as may be specified in writing by such Party.
Equipment Sharing. Provider retains the right to refuse any request for Equipment for any reason and Provider’s need of the Equipment, or inability to provide a qualified Operator during the share period, for whatever reason including but not limited to workload, shall cancel the Equipment Sharing for the agreed upon Share Period, without recourse to the Borrower. The Provider shall give notice to the Borrower as soon as the Provider determines that the Equipment or an Equipment Operator is unavailable for the agreed upon Share Period. The Parties may mutually agree to an alternative Share Period.
