Escrow Agent’s Fees and Expenses Sample Clauses

Escrow Agent’s Fees and Expenses. All fees and expenses of Escrow Agent shall be as set forth on Exhibit C attached hereto and incorporated herein and shall be paid by Depositor.

Escrow Agent’s Fees and Expenses. The parties shall reimburse Escrow Agent for all fees and other expenses (including attorneys’ fees) incurred or imposed by Escrow Agent in connection with its duties hereunder.

Escrow Agent’s Fees and Expenses. AEI shall be solely liable to pay to the Escrow Agent (i) its fees for acting hereunder as Escrow Agent; and (ii) the Escrow Agent’s out of pocket expenses, including without limitation reasonable legal fees and disbursements incurred as a result of consulting independent counsel, if necessary, as to its obligations hereunder, and all applicable taxes thereon. The fees for the Escrow Agent acting hereunder shall be $1,500 CDN, plus applicable Goods and Services Tax.

Escrow Agent’s Fees and Expenses. The reasonable compensation of Escrow Agent as set forth in Schedule 1 hereto and all expenses, disbursements and advances (including reasonable attorneys' fees) incurred in the carrying out of Escrow Agent's duties hereunder (the "Escrow Agent's Fees") shall be paid in equal amounts by Purchaser and Seller.

If the fees and expenses are not paid within thirty (30) days of Escrow Agent giving Purchaser and Seller notice that payment is past due, then Escrow Agent may resign in addition to such other remedies as Escrow Agent may have for nonpayment.

Escrow Agent’s Fees and Expenses. The Escrow Agent shall be entitled to its customary fees for its services. The Escrow Agent shall be entitled to reimbursement from the parties on demand for all expenses incurred in connection with the administration of this Agreement or the escrow created hereby, including without limitation, payment of any legal fees and expenses incurred by the Escrow Agent in connection with resolution of any claim by any party hereunder. As between themselves, Seller and Entrade agree to share equally the cost of Escrow Agents fees hereunder.

Escrow Agent’s Fees and Expenses. The Purchaser agrees to pay 100% of the fees and expenses of the Escrow Agent as described in Schedule A-1 and the Stockholder Representative agrees to pay 100% of the fees and expenses of the Escrow Agent as described in Schedule A-2, each appended to this Agreement for so long as any portion of the Escrow Fund or the Stockholder Representative Fund is held by the Escrow Agent. The fees and expenses of the Escrow Agent to be paid by the Stockholder Representative will be paid out of the Stockholder Representative Fund.

Escrow Agent’s Fees and Expenses. (a) Escrow Agent shall be paid a fee of $3,500 per year for its services under this Agreement, together with an initial $500 setup fee. In addition, Escrow Agent shall be reimbursed for all reasonable and customary expenses, such as wire transfer and certified or cashier's check charges, incurred by Escrow Agent in connection with this Agreement or the servicing and administration of the Escrow Account. (Such fees and expenses of Escrow Agent are referred to hereinafter as the "Fees and Expenses.") (b) All Fees and Expenses of the Escrow Agent shall be paid by TBC.
