If Purchaser enters into an agreement to transfer the Franchise ("Transfer Agreement") in a transaction which is subject to this right of first refusal, then Purchaser shall deliver a copy of the Transfer Agreement together with the financial and operating information provided to the prospective transferee, to Seller ("Notice").
