Establishment of a Joint Committee. 4.1 In exercise of their powers under sections 101(5) and 102 of the Local Government Xxx 0000, sections 19 and 20 of the Local Government Act 2000 and all other enabling powers the Councils hereby create a joint committee for Partneriaeth Addysg De Orllewin Cymru/South West Wales Education Partnership to be known as the PARTNERIAETH Joint Committee with effect from the Commencement Date. 4.2 The Councils shall use their Powers in sections 101, 102, 111, 112 and 113 of the Local Government Xxx 0000, sections 2, 19 and 20 of the Local Government Xxx 0000, section 1 of the Local Authorities (Goods and Services) Xxx 0000, section 25 of the Local Government (Wales) Xxx 0000, section 9 of the Local Government (Wales) Measure 2009, section 13 and 13A of the Education Xxx 0000 and all other enabling powers available from time to time to facilitate their effective participation in the Joint Committee and the effective delivery of the Services in accordance with the terms of this Agreement. 4.3 The Joint Committee shall operate and conduct its business in accordance with the terms of this Agreement including the Terms of Reference of the Joint Committee as set out at Schedule 3 to this Agreement. 4.4 The Councils may from time to time vary the terms of reference of the Joint Committee and this shall be a matter reserved to the Councils. The reservation to the Councils does not preclude the Joint Committee from making recommendations to vary the terms of the reference where it considers they shall promote the Council’s Obligations. 4.5 The Joint Committee shall not have power to approve any matter which has been reserved to the Councils as set out in Schedule 8 to this Agreement. Any matter reserved to the Councils in accordance with Schedule 8 will require the unanimous agreement of all Councils before being endorsed by the Joint Committee and implemented by the PARTNERIAETH. 4.6 The Joint Committee may delegate functions to sub-committees and officers. 4.7 This Agreement is without prejudice to each Council’s other powers and responsibilities for its area.

Establishment of a Joint Committee. 4.1 5.1 In exercise of their powers under sections 101(5102(1)(b) and 102 of the Local Government Xxx 0000, sections 19 and 20 of the Local Government Act 2000 1972 and all other enabling powers the LGPS Investment Regulations the Councils hereby create a joint committee for Partneriaeth Addysg De Orllewin Cymru/South West Wales Education Partnership to be known as created the PARTNERIAETH Joint Committee with effect from the Commencement Date. 4.2 5.2 The Councils shall use their Powers in sections 101, 102, 111, 112 and 113 purpose of the Local Government Xxx 0000, sections 2, 19 and 20 of Joint Committee is to undertake the Local Government Xxx 0000, section 1 of Specified Functions to the Local Authorities (Goods and Services) Xxx 0000, section 25 of the Local Government (Wales) Xxx 0000, section 9 of the Local Government (Wales) Measure 2009, section 13 and 13A of the Education Xxx 0000 and all other enabling powers available from time to time to facilitate their effective participation extent set out in the Joint Committee and the effective delivery Terms of the Services in accordance with the terms of this AgreementReference. 4.3 5.3 The Joint Committee shall operate and conduct its business in accordance with the terms of this Agreement including the Constitution and the Joint Committee Terms of Reference Reference. 5.4 In so far as the business of the Joint Committee as set out at Schedule 3 to this Agreementmay require the exercise of overview or scrutiny functions by the elected members of the Councils, each of the Councils will comply with the overview and scrutiny requirements of its own constitution. 4.4 5.5 In discharging its functions the Joint Committee shall: (a) Take steps to ensure that together the Operator(s) provide sufficient sub- funds and/or vehicles to enable each Council to execute its investment strategy; (b) Have due regard to any relevant stewardship codes of practice or other relevant documents, recognising that individual Councils reserve the right to adopt their own individual policies in areas including application of stewardship codes, exercise of shareholder voting rights and policies in respect of responsible investment; (c) Ensure at all times that the processes and arrangements of the Pool deliver value for money for the Councils and the taxpayer; (d) Ensure that members appointed to the Joint Committee undertake training to acquire and maintain knowledge and skills relevant to the performance of their duties; and (e) Put arrangements in place to ensure that it takes decisions only after considering proper advice from the Section 151 Officers Group and, where required, from Monitoring Officers or from appropriate professional advisers. 5.6 The Councils may from time to time agree to vary this Agreement to enable any other pension administering authority to become a party to this Agreement and such agreement will be effected by the Councils and that other pension administering authority entering into a deed of variation on such terms as may be agreed including but without prejudice to the generality hereof to include provision that the terms of reference of the Joint Committee and this shall be a matter reserved Schedule 5 relating to the Councils. The reservation to the Councils does not preclude the Joint Committee from making recommendations to vary the terms of the reference where it considers they shall promote the Council’s Obligationscost sharing will apply. 4.5 The Joint Committee shall not have power to approve any matter which has been reserved to the Councils as set out in Schedule 8 to this Agreement.
