Establishment of the Series of the Notes and Designation. There is hereby authorized and established a series of Securities designated as the “Fixed-to-Floating Rate Subordinated Notes due 2026,” which are referred to herein as the Notes. The Notes that are a part of such series of Securities shall be in the form and have the terms set forth in the Base Indenture, this First Supplemental Indenture and the Notes in the form attached hereto as Exhibit A.
Establishment of the Series of the Notes and Designation. (a) There is hereby authorized and established a Series of Securities designated as the “5.00% Fixed-to-Floating Rate Subordinated Notes Due December 31, 2027,” unsecured, subordinated to the Senior Indebtedness of the Company as provided herein and unlimited in the aggregate principal amount of the Securities of the 2027 Series that may be issued. The Notes initially issued pursuant to the terms of this Indenture shall be in an aggregate principal amount of $30,000,000, which amount shall be set forth in the written order of the Company for the authentication and delivery of the Notes pursuant to Article 2 of the Base Indenture. The Securities that are a part of such Series of Securities shall be in the form and have the terms, provisions and conditions as set forth in the Base Indenture, this Second Supplemental Indenture and the Notes in the form attached hereto as Exhibit A.

There is hereby authorized and established a series of Securities designated as the “5.90% Fixed-to-Floating Rate Subordinated Notes due 2028,” initially offered in the aggregate principal amount of $300,000,000. The Notes that are a part of such series of Securities shall have the terms set forth in the Base Indenture and this First Supplemental Indenture, and the Notes shall be in substantially the form attached hereto as Exhibit A as provided in Section 5.01 hereof.
