Authentication and Delivery of the Notes. (a) At any time and from time to time after the execution and delivery of this Supplemental Indenture, the Company may deliver Notes executed by the Company to the Trustee for authentication, and the Trustee shall thereupon authenticate and deliver such Notes to or upon the written order of the Company, signed by one or more Officers of the Company, without further action by the Company. In authenticating such Notes and accepting the additional responsibilities under the Indenture in relation to such Notes, the Trustee shall be entitled to receive and (subject to Section 7.1 of the Base Indenture) shall be fully protected in relying upon:

No Note shall be entitled to any benefit under this Agreement or be valid for any purpose, unless there appears thereon a certificate of authentication substantially in the form set forth in the form of such Note attached hereto as Exhibit C, executed by the Trustee by manual or facsimile signature, and such certificate upon any Note shall be conclusive evidence, and the only evidence, that such Note has been duly authenticated and delivered under this Agreement.

Notes in the aggregate principal amount of $_________ may, upon execution of this ________ Supplemental Indenture, be executed by the Company and delivered to the Trustee for authentication, and the Trustee shall thereupon authenticate and deliver said Notes to or upon the written order of the Company, signed by its Chairman of the Board, its President, any Vice President, its Treasurer or any Assistant Treasurer, without any further action by the Company. [As provided in and pursuant to Section 303 of the Original Indenture, each time that the Company delivers Notes to the Trustee or Authenticating Agent for authentication after the initial issuance of Notes under the Indenture, the Company shall deliver a Supplemental Company Order in the form of Exhibit B to this ________ Supplemental Indenture for the authentication and delivery of such Notes and the Trustee or such Authenticating Agent shall authenticate and deliver such Notes.]

Notes in the aggregate principal amount of $150,000,000, or in such greater principal amount as shall be permitted by Section 201, may, upon execution of this First Supplemental Indenture, or from time to time thereafter, be executed by the Company and delivered to the Trustee for authentication, and the Trustee shall thereupon authenticate and deliver said Notes upon a Company Order without any further action by the Company.

Upon execution and delivery of this Indenture, Notes in an aggregate principal amount of not in excess of $175,000,000 (except as otherwise provided in Section 3.08) may be executed and delivered by the Company to the Trustee for authentication, and the Trustee shall thereupon authenticate and deliver said Notes according to the instructions contained in a Company Order.
