ETHICAL STANDARDS OF CONDUCT. Seller hereby represents that it has neither received or given gifts or gratuities to any member of the University community, nor participated in any other unethical conduct in connection with this Order. Seller recognizes that in actual economic practice, overcharges resulting from antitrust violations are in fact usually borne by the buyer. As such, Seller hereby assigns to the University, as the buyer of Goods and/or Services under this Order, any and all claims for such overcharges as to the Goods and/or Services purchased in connection with this Order.
